As a Senior Vice President, Securities & M&A, you will serve as a key member of the legal leadership team and a trusted advisor to the Board of Directors and executive leadership. This executive role is responsible for overseeing all securities law compliance, public company disclosure, and corporate governance matters, while leading the legal strategy and execution for mergers, acquisitions, divestitures, and other strategic transactions.
The role requires exceptional judgment, executive presence, and the ability to balance technical legal expertise with pragmatic business leadership in a complex, regulated, global environment.

What You'll Do:
Public Company Securities & Disclosure
- Provide executive-level leadership for all U.S. securities law and NYSE compliance, including partnering with Chief Accounting Officer and Director of Financial Reporting on SEC filings (including Forms 10-K, 10-Q, 8-K, proxy statements, and related disclosures)
- Partner closely with the CFO, Investor Relations, and external advisors on earnings releases, investor communications, and disclosure controls and procedures
- Provide counsel to the Compensation Committee and executive officers on compensation and stock trading matters, including 10b5-1 plans
- Oversee compliance with Regulation FD, insider trading policies, and related public company obligations
- Monitor and interpret evolving securities regulations and governance best practices, advising leadership and the Board on implications and required actions
- Provide strategic support to the Board of Directors and Board committees on governance, fiduciary duties, and disclosure matters
- Oversee preparation of Board and committee materials, resolutions, charters, and governance policies
- Assist in planning and scheduling meetings of the Board of Directors and standing committees.
- Serve as Assistant Corporate Secretary, including preparing Board and committee materials, drafting minutes, and preparing unanimous written consents
- Coordinate annual Board evaluations and self-assessments
- Manage processes related to the annual stockholders meeting, including proxy distribution, virtual meeting logistics, and investor/proxy advisor outreach.
- Manage relations with transfer agents, proxy solicitors, and inspectors of election for stockholder records and vote tabulation
- Oversee entity management of domestic and international subsidiaries, including maintaining registrations and corporate records
- Ensure governance practices align with public company and NYSE standards, stockholder expectations, and regulatory requirements
- Lead all legal aspects of domestic and cross-border M&A, divestitures, joint ventures, and strategic investments
- Advise executive leadership on transaction structure, risk allocation, and regulatory considerations
- Oversee legal due diligence, negotiation, and drafting of definitive transaction documents
- Coordinate closely with Finance, Tax, HR, Operations, and external advisors to ensure efficient execution and integration
- Support post-closing integration, disclosure obligations, and ongoing compliance requirements
- Support the Treasury on financing matters, including credit facilities, bond offerings, and stock buybacks
Legal Leadership & Enterprise Partnership
- Lead and develop a high-performing securities and corporate transactions legal team
- Manage relationships with external counsel, investment banks, and advisors, ensuring quality and cost discipline
- Establish and continuously improve legal processes, templates, and playbooks to support scalable growth
- Act as a strategic thought partner to the Chief Legal Officer and executive team on enterprise risk, capital markets activity, and long-term growth strategy
Position Requirements:
- Must be authorized to work in the US
- Juris Doctor (JD) from an accredited law school; active bar membership in good standing
- 10+ years of progressive legal experience, including significant public company securities and M&A responsibility
- Prior experience as a senior legal leader in a public company and/or as a partner or senior counsel in a top-tier law firm
- Deep expertise in SEC rules, disclosure controls, corporate governance, and NYSE or Nasdaq listing standards (NYSE preferred)
- Proven track record drafting disclosure documents, including proxy statements, earnings releases, Forms 10-K, 10-Q, and 8-K
- Strong knowledge of corporate governance laws, regulations, and practices; familiarity with board portals (e.g., Diligent)
- Proven track record leading complex, high-value M&A and strategic transactions
- J.D. from an accredited institution; strong academic credentials required
- Active membership in good standing with at least one state bar
- Executive presence and credibility with Board members and C-suite leaders
- Strong business acumen and ability to translate complex legal issues into clear strategic guidance
- Sound judgment under pressure and comfort with high-visibility decisions
- Collaborative leadership style with the ability to influence across functions
- Unquestioned integrity, discretion, and commitment to ethical leadership
- Highly detail-oriented with strong project management skills and ability to meet filing deadlines
- Business or finance coursework or experience preferred
- Experience operating in global, regulated, or industrial environments strongly preferred
