The New York office of Jones Day is seeking a mid-level associate to join the Securitization/ABL/Structured Finance group within its Financial Markets practice. With nearly 320 lawyers worldwide, the Financial Markets practice advises on the full range of complex cross-border financial transactions, representing a diverse client base of global financial institutions, issuers, borrowers, funds, and asset managers. Securitization/ABL/Structured Finance is a core area of focus within the Financial Markets practice. Associates in this role will work on sophisticated structured finance and securitization transactions across a range of asset classes, including warehouse financings, receivables programs, asset-backed lending facilities, collateralized loan obligations (CLOs), and other structured credit products. The work involves representing both issuers and investors, as well as trustees, underwriters, and other market participants, and draws on the broader resources of the Financial Markets practice, including its capital markets, derivatives, and regulatory capabilities.Qualified candidates should have 3–6 years of experience at a major law firm working on structured finance or securitization transactions.
Ideal candidates will bring:
- Experience drafting and negotiating indentures, pooling and servicing agreements, receivables purchase agreements, warehouse lending facilities, or similar structured finance documentation
- Familiarity with one or more securitized asset classes (e.g., consumer and commercial loans, trade receivables, mortgage loans, auto loans/leases, or esoteric assets)
- Understanding of credit enhancement structures, cash flow waterfalls, and priority of payments mechanics
- Excellent drafting and analytical skills, a superior academic background, and strong attention to detail
- A desire for significant client responsibility, hands-on deal management, and collaborative teamwork
