Description:
Job Purpose:Reporting directly to the Vice President & General Counsel for North America, this position provides counsel to internal clients, specifically Procurement and Corporate Development, along with CNH's Technology, Innovation, Vehicle & Implements, Precision Technology, User Experience and Powertrain units which report to CNH's Chief Technology Officer.
Key Responsibilities:
- Negotiate and draft supply, sales and R&D agreements with a technology, innovation and precision farming focus (such as connectivity and precision guidance technologies, digital applications, display components, automated and autonomous technologies).
- Provide M&A/VC transaction support including due diligence, contract review, contract negotiation and drafting, and post-closing integration activities.
- Work closely with the intellectual property and data privacy teams to ensure coherent execution of overall technology, innovation and precision farming strategies and support negotiation of R&D and licensing agreements.
- Maintain expert knowledge and awareness of legislation, regulations and caselaw with respect to technology and commercial contract issues to reduce business risk and ensure legal compliance.
- Provide practical, business focused advice to the executive team with respect to technology and commercial contract issues.
- Partner with business and legal teams to determine strategy on negotiations with suppliers and other partners.
- Manage in-house counsel focused on procurement and supply chain and oversee CNH's legal review and negotiation of supply, service and OEM wholesale agreements, as well as trainings for business clients on technology and commercial contract issues.
- Manage outside counsel, fees and case budgets for situations requiring external support.
Experience Required:
- J.D. and a current membership with the appropriate state bar.
- 8+ years related experience at a large corporate law firm, or in-house with relevant contracting and counseling experience.

- Ability to work independently, exercise practical business judgment and meet concurrent deadlines.
- Willingness to respond to clients and counsel beyond regular business hours when needed.
