Distinguishing Features of The Class: The work involves providing legal services and guidance of varying difficulty to support the health care related and business matters of the A Hospitals & Health Care Company. The incumbent provides legal advice, serves as a legal representative, negotiates and reviews agreements, develops policies and procedures and develops and manages a contract management process for compliance with applicable laws, regulations and rules. Work is performed under the direct supervision of the General Counsel with leeway allowed for the use of independent judgment in carrying out the details of the work. Supervision is exercised over lower-level professional, paraprofessional and clerical staff. Does related work as required.

Typical Work Activities:
  • Participates in defining and developing legal policies and procedures;
  • Provides continuing counsel on legal implications and advises on a variety of legal matters such as governance, legal risk and contract interpretation;
  • Represents ECMCC in various courts and proceedings;
  • Negotiates, prepares and approves the form of agreements/contracts with service providers;
  • Negotiates, prepares and executes other agreements/contracts and documents necessary to ensure compliance with laws and regulations;
  • Develops and administers a contract management system to ensure compliance with applicable laws, regulations and rules;
  • Researches legal issues; develops and recommends solutions to legal risks regarding ECMCC operations;
  • Provides advice on rules and regulations; develops innovative solutions for difficult, complex and systemic problems;
  • Reviews and approves requests for proposals to ensure compliance when purchasing goods and services;
  • Assists in the development of policies and communication processes to encourage reporting of compliance related information without fear of retaliation;
  • Performs investigations, develops summary reports and completes regulatory reporting for instances of possible employee misconduct such as drug diversion, patient abuse and patient neglect;
  • Investigates compliance-related conduct;
  • Responds to questions, issues and reports of potential legal issues;
  • Prepares and submits reports on applicable issues and activities;
  • Organizes and/or participates in meeting, committees, workshops, education programs and in-services.

Minimum Qualifications:
Graduation from an American Bar Association (ABA) accredited School of Law with a Juris Doctor Degree and four (4) years of experience as a practicing attorney that included contract drafting and negotiation, legal research and opinion drafting and policy and procedures design, two (2) years of which included practicing health law for a hospital, healthcare system, physician group, provider of outsourced physician services, or handling employer-side employment law cases, including but not limited to New York State Division of Human Rights and Equal Employment Opportunity Commission matters.

Special Requirements:
Possession of a New York State Law License in good standing at time of appointment and maintenance of licensure in good standing throughout duration of appointment.
