Overview of Position:
The Staff Counsel I position provides legal support to the organization, focusing primarily on contract reviewing, drafting, and negotiating a wide range of commercial contracts and legal agreements to support the Company's business operations. This position ensures all contractual documents protect the Company and comply with applicable laws, corporate policies, and risk management principles, while aligning with business objectives. This entry-level position is ideal for a recent law school graduate who is admitted to a state bar to develop a strong foundation in corporate and commercial law within a collaborative, fast-paced environment.
Job Responsibilities:
- Draft, review and negotiate a variety of contracts, service agreements, consulting agreements, licensing arrangements, NDAs and other commercial documents assigned.
- Assist in contract lifecycle management system, ensuring proper documentation, tracking, and retention of executed agreements.
- Collaborate with internal business departments, including Procurement, Finance, IT, Marketing, HR, Scientific Affairs and Business Operations to provide legal guidance through the contracting process,
- Conduct sanction reviews on all vendors prior to entering into our contract review process.
- Support process improvements to increase efficiency in contract review and management.
- Identify and mitigate contractual risks, ensure appropriate protections and compliance with corporate policies.
- Assist with compliance initiatives, policy updates, and training documentation as directed.
- Provide General legal support to the Legal department as needed.
Scope:
The Staff Counsel I plays a key role in supporting the day-to-day legal operations of the organization, with a primary focus on contract review and management. This position provides direct legal assistance to business units across the company, including Procurement, Operations, Human Resources, Finance, Marketing, and IT, under the supervision of senior counsel.
The role is responsible for ensuring that contractual documents comply with company policies, legal requirements, and risk management standards. The Staff Counsel I also assists in identifying opportunities to improve efficiency in contract processes and supports broader legal and compliance initiatives.
This position operates within a highly collaborative environment, where attention to detail, responsiveness, and sound legal judgment contributes to the company's ability to achieve its strategic and operational goals. The scope of work is primarily transactional and advisory, with limited litigation involvement.
Knowledge, Education, Skills & Abilities
- Juris Doctor (J.D.) degree from an accredited law school.
- Admission to at least one U.S. state bar (or eligibility for in-house counsel registration).
- 0–3 years of experience in a corporate legal department or law firm (internship or clerkship experience may be considered).
- Strong understanding of contract law principles and basic corporate governance.
- Excellent academic record with strong written and verbal communication skills, with close attention to detail.
- Ability to manage multiple priorities, meet deadlines, and work independently with minimal supervision.
- High level of integrity, professionalism, and sound judgment.
Preferred Qualifications:
- Experience using contract management systems or document review tools.
- Exposure to procurement, vendor management, or commercial transactions.
- Demonstrated ability to work collaboratively with cross-functional teams in a business setting.
