Job Summary: The Staff Attorney has responsibility for providing legal advice on a wide variety of matters related to the health system and its related organizations. Key responsibilities include, without limitation, legal research; drafting memoranda and other documents; creation, review and analysis of contractual arrangements for the health system, including the competitive solicitation process.

Essential Job Functions & Accountabilities:
Negotiates, drafts, and reviews a full range of contracts, including agreements for clinical and administrative services, managed care and commercial payor agreements, complex commercial transactions and strategic business arrangements, license agreements, purchasing agreements, employment agreements, clinical trial agreements, asset purchase agreements, real estate leases, capital leases, business associate agreements, professional consulting services agreements, agreements for IT products and services, design and construction services agreements, marketing-related agreements and arrangements, and other documents related to the provision of clinical care and operation of a multi-facility health network.
  • Conducts legal research and drafts memoranda and other documents on a variety of legal issues impacting a health care system in a timely manner.Structures and reviews health system contractual and operational arrangements to ensure compliance with applicable laws.
  • Assures consistency of contract terms with company philosophies, policies, and goals.
  • Provides education and support on legal and regulatory matters, as directed by the Deputy General Counsel.
  • Coordinates with outside counsel, as directed by the Deputy General Counsel, to address issues requiring specialized legal input.
  • Gathers evidence and information for management decision-making.
  • Responds to regulatory audits, governmental inquires, regulatory requests for information, subpoenas, court orders, and responses to Freedom of Information Law requests.
  • Reviews and advises on responses to Texas Open Records Act or Freedom of Information Act requests, including drafting briefs to the Office of Attorney General, as applicable.
  • Remains up-to-date on legal developments and legislation that may affect the healthcare system.

Qualifications:
Required Qualifications:
  • Juris Doctorate (JD) from an American Bar Association accredited law school.
  • 3-5 years of experience conducting legal research, writing, and analysis.
  • 3-5 years of experience in negotiating, reviewing, and drafting contracts.
  • Member of Texas State Bar or member in good standing of the State Bar of another state or District of Columbia.

Preferred Qualifications:
  • Previous experience as an in-house counsel in a complex healthcare environment.
  • Previous experience in a law firm specializing in healthcare and/or transactional law.
