We are seeking a seasoned legal professional to serve as Senior General Attorney II – Compliance & Anti-Fraud, a key leadership role within our Compliance & Audit Department. This position is responsible for overseeing critical compliance functions that seek to ensure ethical conduct, legal adherence, and risk mitigation across the enterprise. The successful candidate will lead initiatives that support our commitment to integrity, transparency, and operational excellence.

Key Responsibilities:
Ethics and Compliance Program:
  • Oversee the development of the annual Compliance Plan and implementation of key compliance initiatives. Core functions include communication and enforcement of BNSF's Code of Conduct and associated conflict of interest disclosures, design and management of company policies and training, and establishment of effective monitoring and assessments to ensure ongoing compliance across all compliance areas.
  • Hotline / Ethics Line Management:
  • Lead a team responsible for administration of the ethics hotline, ensuring timely investigation and resolution of reported concerns. Provide regular reporting and trend analysis to leadership.
  • Fraud Investigation & Anti-Fraud Monitoring:
  • Lead internal investigations related to fraud, misconduct, and compliance violations. Develop and maintain continuous antifraud monitoring systems and controls.
  • Corporate Governance & Securities:
  • Provide legal guidance on governance matters for BNSF and its subsidiaries. Advise on securities law compliance, including SEC disclosures, filings, and investor communications.
  • Enterprise Risk Management:
  • Collaborate internally to identify, assess, and mitigate legal and compliance risks across the enterprise.

Qualifications:
  • Juris Doctor (JD) from an accredited law school; active bar membership required.
  • Minimum of 10 years of legal experience, with significant exposure to compliance, corporate governance, risk management, employment law or related fields.
  • Proven ability to lead cross-functional teams and manage complex legal matters.
  • Exceptional communication, analytical, and problem-solving skills.
  • Experience in a regulated industry or public sector environment preferred.
