The Executive Team of A Not-For-Profit Health Organization is pleased to announce the search for a Senior Vice President, Deputy General Counsel for A Not-For-Profit Health Organization. In coordination with the General Counsel for A Not-For-Profit Health Organization, the Deputy General Counsel is responsible for legal services across A Not-For-Profit Health Organization and its affiliates and serves as the legal advisor to the organization's senior management team throughout the A Not-For-Profit Health Organization system. This position oversees legal activities with respect to major contracts and transactions, physician agreements, regulatory compliance, tax-exempt bonds and other financial agreements, labor and employment issues, medical staff, patient care matters, and Governance matters. As a member of the senior leadership team, leads and manages the legal function and has primary responsibility to provide appropriate, effective and timely legal advice.

Essential Functions:
  • Manages legal services across Prisma Health. Works with individual attorneys to develop requisite skills and breadth of legal knowledge. Trains, manages, and holds staff accountable for performance. Continuously monitors and measures department performance compared to appropriate benchmarks. - 20%
  • Oversees the legal activities with respect to major contracts and transactions, physician agreements, regulatory compliance, tax-exempt bonds and other financing agreements, labor and employment issues, medical staff, patient care matters, and Governance matters. - 20%
  • Serves as the principal legal advisor in coordination with the Prisma Health General Counsel on mergers and acquisitions and other transactional matters. - 15%
  • Supervises litigation involving Prisma Health or any of its affiliates. - 15%
  • In coordination with Prisma Health General Counsel, assists in the development of plans to align and integrate legal services throughout Prisma Health. - 10%
  • Participates as a senior member of management and works directly with the corporate executive team to understand strategic initiatives and business needs. Provides legal and business counsel and establishes and influences appropriate ethical standards and legal considerations which must be taken into account when decisions are made. - 10%
  • Actively involved in reviewing contracts, drafting legal documents as well as reviewing legal documents from outside attorneys. - 10%

Minimum Requirements:
  • Juris Doctorate from accredited school of law
  • 8 years - In-house counsel experience in healthcare

Required Certifications, Registrations, Licenses
License to practice law in state of South Carolina

Knowledge, Skills or Abilities
  • Ability to interpret complex internal / external business issues and take broad perspective in identifying and executing solutions
  • Understanding of and experience with regulatory and compliance statutes (Health Insurance Portability and Accountability Act/HIPPA, Stark Law, Anti-Kickback, Emergency Medical Treatment and Active Labor Act/EMTALA,. etc.).
  • Experience working with governing bodies in developing, reviewing and modifying, when appropriate, corporate bylaws. Experience working with board officers to develop agendas and provide advice to assist in resolving Governance issues.
  • Proven ability to lead in a complex environment.
  • Basic computer skills with proficiency in word processing and spreadsheets
  • Knowledge of office equipment (fax/copier)

Supervisory Responsibilities:
Job has direct and/or indirect supervision of employees that may include final budget authority, hire/termination/disciplinary authority, performance appraisal responsibility. Job will be considered a member of the leadership team with direct reports, and as applicable, may include several layers of management.
