Description:
We are seeking an experienced attorney to join us as an independent contractor/consultant. This is a flexible, fully remote opportunity for an attorney who enjoys practicing at a high level without the demands of traditional Big Law.What You'll Do:
You will draft, review, negotiate, and advise clients on a broad range of technology and commercial agreements, including:
- SaaS and software license agreements
- Master Services Agreements (MSAs)
- Statements of Work (SOWs)
- Professional services agreements
- Cloud services agreements
- AI-related agreements and commercial AI issues
- Data processing agreements
- Vendor and procurement contracts
- Strategic commercial partnerships
- NDAs and other commercial contracts
- You will work directly with sophisticated clients and be expected to exercise strong independent judgment with minimal supervision.
Qualifications:
Ideal candidates will have:
- 8+ years of experience practicing commercial transactions law
- Significant experience negotiating technology and commercial agreements
- Experience advising technology companies or technology procurement teams
- Excellent drafting and negotiation skills
- Strong business judgment and client communication skills
- Ability to manage matters independently
- Strong preference will be given to attorneys with one or more of the following:
- Experience at an Am Law or other nationally recognized law firm
- Significant in-house legal experience
- Fortune 500 legal department experience
- Meaningful experience with AI-related legal issues and commercial contracting
