Job Description:Senior Compliance Counsel
STO Building Group is a privately held, global family of leading construction management firms with operations in the U.S., Canada, the UK, Ireland, and the Netherlands. This role sits within STO Building Group's Compliance & Ethics Department, which is responsible for promoting a culture of integrity, maintaining an effective speak-up program, and overseeing key compliance risk areas across the organization. The department provides regular reporting to the Audit, Finance & Risk Committee of the Board.
The Senior Compliance Counsel reports to the Chief Ethics & Compliance Officer (CECO) and plays a central role in upholding the Company's integrity standards and managing sensitive risk matters across the enterprise. Under the direction of the CECO, this role leads and oversees the Company's ethics and compliance investigations function and integrity-related third-party risk management, and serves as a senior advisor to leadership on matters requiring sound judgment, discretion, and credibility.
Key Responsibilities:
- Direct and oversee ethics and compliance investigations across the enterprise for matters implicating the Company's Code of Conduct, anti-corruption and integrity policies, and related compliance standards.
- Own investigation intake and case governance, including triage and routing of matters received through the ethics helpline and other channels; establish investigation strategy, documentation expectations, escalation protocols, and consistent remediation and follow-through.
- Oversee the integrity components of the Company's third-party risk program, including integrity-focused due diligence and risk screening, ongoing monitoring for integrity red flags, and remediation or disengagement where appropriate for vendors, subcontractors, consultants, agents, and other business partners.
- Advise on enterprise integrity standards, including anti-corruption, conflicts of interest, antitrust, and fair-competition expectations, and serve as a trusted advisor on conduct and integrity questions.
- Manage the Company's conflicts of interest disclosure program, including disclosure processes, review and follow-up, mitigation measures, documentation, and escalation.
- Support client transparency and integrity commitments, including responses to client inquiries, certifications, and audits related to ethics, investigations, conflicts, and integrity-related third-party risk.
- Analyze trends and systemic issues arising from investigations, conflicts disclosures, and integrity reviews; escalate significant matters and emerging risks to leadership.
- Prepare executive- and Board-level reporting on integrity matters, conflicts, investigations, and integrity-related third-party risk.
- Contribute to, review, and deliver integrity-related training content.
Minimum Qualifications:
- J.D. from an accredited law school and active bar membership in at least one U.S. jurisdiction.
- 10+ years of relevant experience in compliance, investigations, white collar or complex regulatory matters, government investigations, or related in-house and/or law firm roles.
- Demonstrated experience overseeing sensitive internal investigations and advising on integrity-related issues involving anti-corruption, conflicts of interest, and fair competition/antitrust risk.
- Prior experience in government enforcement, prosecution, or white-collar investigations (or substantial work opposite those agencies in private practice) strongly preferred.
- Experience designing or operating integrity-focused third-party risk processes (e.g., due diligence, risk screening, monitoring, remediation).
- Strong executive presence with the ability to advise senior leaders on sensitive topics.
- Excellent judgment and discretion, with a practical, solutions-oriented approach and the ability to manage multiple matters while maintaining consistency and follow-through.
- Experience in construction, infrastructure, industrial, or similarly complex operational experience strongly preferred.
- Occasional travel required.
Salary Range: $200,000 -$240,000
Compensation: In addition to base pay, eligible for discretionary bonus based on company and individual performance
