Description:

Material Bank is seeking a Senior Legal Counsel to join our Legal team as our second lawyer. This is a builder's role with significant ownership and visibility across the organization. You'll advise the business on a broad range of legal matters, spanning commercial, corporate governance, employment, equity, transactions, data privacy, product, and intellectual property matters.

You'll partner closely with Sales, Product, Engineering, Marketing, Finance, HR, and other teams to help the company move quickly while managing legal and regulatory risk thoughtfully. You'll also help build the processes, templates, playbooks, and systems that allow a small legal team to scale effectively.

This role suits someone who combines strong legal judgment with a practical, business-oriented mindset. You're comfortable working outside your immediate area of expertise, prioritizing in a fast-moving environment, and finding solutions where the answer isn't always obvious. We don't expect you to be an expert in everything you'll be asked to do. Instead, we're looking for a core competency in at least some of the matters listed above and a willingness to learn and figure out the rest.

What You'll Do:
  • Draft, review, and negotiate vendor, partnership, sales, and other commercial agreements.
  • Advise on data privacy compliance efforts (e.g., CCPA, GDPR, and emerging U.S. and international privacy regimes).
  • Advise on equity matters, including equity plans, grants, and related compliance.
  • Advise on board-related matters, including board materials and corporate governance.
  • Advise on consumer protection, advertising, endorsements, promotions, CAN-SPAM, TCPA, FTC guidance, and other customer-facing legal requirements.
  • Advise on intellectual property and trademark matters.
  • Partner with HR on employment-related matters.
  • Partner with Product, Engineering, and Design teams throughout the product development lifecycle to provide practical legal guidance.
  • Help build and improve legal operations, including template and playbook development, contract management, legal intake, knowledge management, workflows, automation, and internal processes.
  • Leverage AI and legal technology to automate repetitive work, improve legal service delivery, and help the Legal team scale.
  • Manage outside counsel when specialized expertise or additional support is appropriate.

What you'll bring

Required:
  • JD from an accredited law school and active bar membership in good standing in at least one U.S. jurisdiction, or eligibility to register as in-house counsel where required.
  • 6+ years of relevant legal experience, including meaningful in-house experience (ideally at a high-growth technology company).
  • Working experience in commercial contracts and at least one additional practice area, such as corporate governance, data privacy, equity, or employment.
  • Strong legal judgment and the ability to translate complex legal requirements into clear, practical business guidance.
  • Experience operating in resource-constrained or fast-moving environments where prioritization, judgment, and adaptability are essential.
  • Curiosity, adaptability, and comfort taking ownership of matters that may fall outside your existing expertise.
  • Living on the East Coast (willingness to work EST hours does not count)

Preferred:
  • Strong substantive experience in data privacy and product counseling, including CCPA, GDPR, and emerging privacy regimes.
  • Experience building or scaling legal processes, templates, playbooks, contract management systems, or other legal operations infrastructure.
  • Comfort using AI-assisted legal tools and a bias toward automating repetitive work.
