A Custom Software Development & Consulting Company is looking for a top-tier Senior Legal Counsel to join our executive team and lead our legal strategy. The Senior Legal Counsel will work with the President of each business line, as well as the CEO and the corporate executive team, to update and maintain legal compliance and strategies for each Business Line and A Custom Software Development & Consulting Company. The Senior Legal Counsel will also assist in corporate development activities resulting from these strategies, such as partnership and M&A activities.

Job Summary:
As Senior Legal Counsel, you will provide comprehensive legal counsel and guidance on a broad range of matters critical to the company's success. This role requires expertise in corporate law, intellectual property, contracts, governance, compliance, and risk management. You will be a trusted advisor to the CEO, executive team, each Business Line, and board of directors, navigating the complexities of international law and ensuring the company operates with the highest ethical and legal standards.

Specific job responsibilities include:
  • Provide strategic legal advice and counsel on all aspects of the business, including corporate governance, mergers & acquisitions, intellectual property, data privacy, employment law, and international trade regulations.
  • Oversee the development and implementation of a comprehensive legal compliance program across all jurisdictions (US, Vietnam, Mexico).
  • Manage legal-related due diligence items both for potential buy-side and sell-side transactions
  • Manage a small team of global resources.
  • Manage external legal relationships, engaging and collaborating with outside counsel on specialized matters.
  • Manage and oversee equity and options programs globally
  • Stay abreast of evolving legal and regulatory landscapes in the technology sector and emerging markets.
  • Mitigate legal risks and proactively identify potential legal issues, developing strategies to minimize their impact.
  • Manage, review, draft, and negotiate a variety of contracts, including client agreements, vendor contracts, partnership agreements, and employment contracts (with the help of external legal partners)
  • Represent the company in interactions with regulatory bodies and government agencies.
  • Ensure adherence to corporate governance best practices and advise on board and committee matters.
  • Foster a strong ethical culture within the company, ensuring all operations comply with legal and regulatory requirements.

Location: Atlanta, Georgia

Requirements:
  • Juris Doctor (J.D.) degree from a reputable law school.
  • Admitted to practice law in at least one jurisdiction in the United States.
  • Minimum 10 years of experience in a senior legal role as a practicing attorney, with a focus on corporate law, governance, and intellectual property, preferably within the technology sector.
  • Proven track record of providing strategic legal advice and guidance to executive leadership on complex legal issues.
  • Excellent communication, negotiation, and interpersonal skills with the ability to build strong relationships with internal and external stakeholders.
  • Willingness and ability to learn the business and to provide business-level inputs to the executive team
  • Proactive, results-oriented, and able to manage multiple priorities effectively.
  • Deep understanding of the technology industry and its legal landscape.
  • High level thinker and leader to build a nimble, agile, and "can do" culture in the department.
  • Possesses an innovative, creative, and entrepreneurial mindset.
  • Superior writing and editing skills.
  • Open to travel as needed (unlikely to exceed 20%) including international trips; peak travel can be 100% for up to a period of 2 weeks
  • Expertise in international law is nice to have, with an understanding of legal and regulatory frameworks, particularly in the areas of data privacy, employment law, and intellectual property in the US, Vietnam, and Mexico.
