Job Title: Corporate Counsel – Commercial and Transactions

Position Summary
The Orbia Law Department is searching for an attorney to support commercial and complex transactions of the Koura business. The role has primary responsibility in North America, but will be assigned projects in international jurisdictions, too. This a hybrid office/remote position, with preference for either Atlanta, GA, [New Orleans, LA,] or Baton Rouge, LA. This position reports to the Assistant General Counsel of the Koura Business Group and will not have supervisory responsibilities. This is an excellent position for a great transactions attorney looking to start his/her in-house career.
Essential Duties, Functions and Responsibilities include the following:
- Leading the negotiation and drafting of complex agreements, such as engineering, procurement, and construction (EPC) contracts, international commercial agreements, and the like.
- Leading critical processes in joint venture and M&A projects, such as due diligence, antitrust analysis, corporate entity structuring, and contract negotiation.
- Reviewing, negotiating, and drafting commercial agreements of all types, with special attention to the sales, and procurement.
- Analyzing a contract’s risk to the business and ensuring that the contracts meet company’s risk profile and the business unit’s objectives.
- Consulting with and advising business personnel on a variety of legal issues.
- Creating contract templates, clause banks, and involvement in other similar efficiency-improving projects for the business and its affiliates.
- Developing and maintaining business relationships with key business team members.
- Cross-functional interaction and collaboration to obtain relevant input for transactions and projects.
- Keeping abreast of changes in United States law and regulations, and working with the businesses to respond to such changes.
- Training the business with respect to contract and other legal topics.
- Training the business regarding compliance with applicable laws and company policies.
- Working directly with other members of the Law Department as appropriate.
- Supporting Law Department projects and initiatives.
Required Experience and Qualities:
- Substantial experience working with commercial contracts of all types to support transactions of significant importance to the company.
- Significant experience with sophisticated transactions (including joint ventures and mergers and acquisitions) including leading and managing due diligence and contract negotiations.
- Excellent contract drafting skills. An expert grasp of contract concepts, together with a strong ability to apply them practically. Superior analytical and organizational skills.
- A willingness and ability to accept a high level of individual responsibility.
- The ability to quickly understand business objectives of a transaction, identify important issues, and manage negotiations to achieve the business goals efficiently, timely, and in a cost-effective manner by anticipating, addressing, and creatively resolving legal issues.
- The experience and judgment to prioritize and manage projects across several business categories to meet business objectives and competing deadline requirements in an evolving and fast-paced environment.
- Commitment to the importance of integrity and compliance.
- The ability to communicate concisely and effectively both orally and in writing.
- Ability to analyze new law, regulation and contract trends for potential impact on business unit goals and objectives.
- Ability to work autonomously as we as cross-functionally with other teams and to influence and build effective working relationships with individuals at all levels of the organization.

- Experience maintaining ongoing relationships with internal clients and outside counsel.

- Ability to travel to business locations per business needs (up to 25%).
Additional Experience And Qualities That Will Give You An Advantage
- Experience advising manufacturing clients.
- Experience in managing legal workflows of large capital expenditure projects, including construction, real estate, and permitting.
- Comfort and familiarity with existing and emerging technologies.
- Experience with international contracts – especially EU and/or Mexico.
- DOD and/or DOE government contracting.
- Familiarity with antitrust and/or intellectual property.
- Strong desire to learn Koura’s businesses.
- Prior experience setting and maintaining budgets.
- Knowledge of logistics, customs, and export-control requirements.
- High technology acumen, including experience with contracts databases and electronic storage of pertinent agreement terms and commitments.
- Prior in-house legal experience.
Required Education/Certificates/Licenses
- Law degree from an ABA accredited law school in the United States.
- License to practice law in at least one state.
- Four to eight years of professional experience in combination of law firm and in-house.
