We are seeking a strategic and business minded Senior Legal Counsel to join our in-house legal team. The ideal candidate will bring strong commercial contracting expertise, sound judgment, and the ability to navigate complex legal and regulatory matters in a fast paced environment. This role serves as a trusted advisor to senior business leaders, balancing legal risk with business objectives while helping shape scalable legal processes and standards across the organization.
As Senior Legal Counsel, you will lead complex commercial negotiations, provide guidance on strategic legal and regulatory matters, support enterprise risk management initiatives, and mentor junior legal team members. You will report to the Vice President, Legal. This role is hybrid-remote based in our Raleigh, NC office.
What You'll Do:
- Lead complex commercial negotiations involving customer agreements, SaaS and software licensing agreements, vendor contracts, partnership agreements, NDAs, and other strategic business transactions.
- Advise senior leadership on legal risk, regulatory considerations, and business-focused risk tradeoffs.
- Champion legal operations by streamlining processes, adopting AI-enabled legal technologies, and applying AI literacy to advise on legal, regulatory, and operational risks while enhancing the efficiency and effectiveness of the legal function.
- Draft, review, negotiate, and structure sophisticated agreements while balancing risk mitigation with operational and revenue objectives.
- Develop, maintain, and enhance legal templates, negotiation playbooks, and scalable contracting processes aligned with company standards and industry best practices.
- Serve as an escalation point for Legal Counsel on complex contractual, regulatory, and litigation-related matters.
- Support and manage regulatory, compliance, and litigation matters as needed, including coordinating with outside counsel when appropriate.
- Provide guidance on data privacy, information security, corporate governance, and industry-specific regulatory requirements impacting the business.
- Partner cross-functionally with Sales, Product, Finance, Security, and executive stakeholders to support strategic initiatives and drive efficient decision-making.
- Mentor and coach junior legal team members while fostering collaboration and continuous improvement across the legal function.
- Support legal operations initiatives aimed at improving workflows, systems, processes, and operational efficiency.
What You'll Need:
- JD from an accredited U.S. law school and admission to at least one state bar.
- 6–10 years of legal experience in a law firm and/or in-house environment.
- Strong experience negotiating and structuring complex commercial agreements, preferably in SaaS, software licensing, or technology environments.
- Strong knowledge of regulatory and compliance frameworks, data privacy and security principles, corporate governance, and litigation management fundamentals.
- Executive presence with the ability to communicate effectively and influence stakeholders at all levels of the organization.
- Exceptional drafting, negotiation, communication, and conflict resolution skills.
- Strong strategic thinking, business judgment, and enterprise risk management capabilities.
- Ability to identify legal and operational risks while maintaining a practical, solutions-oriented approach.
- Experience building scalable legal processes, templates, and standards.
- Proven ability to operate independently, manage competing priorities, and thrive in a fast-paced environment.
- Strong relationship-building skills with the ability to earn trust across business and executive leadership teams.
- High degree of professionalism, adaptability, and sound decision-making.
- Experience with Ironclad or comparable contract management systems preferred.
- Occasional travel is required to support team events, collaboration, and strategic initiatives.
