Job Description:The Senior Legal Counsel will be focused on negotiating, drafting, and approving enterprise and insurance SaaS and data licensing arrangements and supporting our North America insurance sales business. Where required, this role will support other regions where our group operates and work on other legal and regulatory aspects for our corporate group. The candidate will be responsible for direct relationships with certain business leaders and sales verticals to help them achieve their projected targets.
Key Responsibilities:
- Support the North American insurance sales organization and go-to-market efforts by:
- Supporting and advising the insurance sales team on deal structure and contract negotiations, including advising on legal risks and legal liabilities associated with contractual arrangements;
- Representing An Australian Aerial Imagery Technology and Location Data Company's interests and interfacing directly with opposing counsel and negotiation teams; and
- Providing training to the insurance team in understanding the legal position and risk exposure;
- Draft, review, and negotiate external-facing product and vendor contracts;
- Attend to legal-related external customer support requests and enquiries;
- Identify, assess, and mitigate legal risk associated with new, updated, and/or discontinuation of products, including updating standard terms as needed;
- Ensure compliance with applicable data privacy and other relevant regulations; and
- Collaborate on global legal projects lead by the Deputy General Counsel(s).
Qualifications:
- JD or equivalent degree, admitted to the bar, and in good standing or otherwise authorized to practice law in the United States;
- 7+ years legal experience, with a combination of in-house experience (ideally within a SaaS environment) and law firm transactional experience preferred;
- trong experience in drafting and negotiating complex enterprise contracts, preferably with companies in the insurance industry, including but not limited to software licensing (SaaS - vendor side), licensing arrangements involving Sartificial intelligence, machine learning and machine derived attributes, and data privacy;
- Ability to operate in a fast-paced work environment and proven ability to address complex problems and business needs while reasonably balancing risk and not compromising on quality or work;
- Must be able to, and be comfortable giving, commercially-focused, pragmatic legal advice in simple to understand language;
- Comfortable managing and responding to messages quickly and balancing multiple deals at one time;
- Strong interpersonal communication skills needed to be an effective business partner;
- Broad commercial and corporate law knowledge with a strong background of intellectual property law in a technology context, licensing, SaaS, revenue recognition, and privacy;
- Able to handle matters with minimal supervision;
- Able to work and act decisively in a fast-paced, time critical environment while balancing risks; ;
- Openness to adapting practice in response to a fluid and expanding product roadmap and company initiatives; and
- Proficient in MS Office suite of products and experience with systems such as Salesforce, Conga, JIRA, and Slack preferred.
