What You Get to Do
A day in the life:
  • Advising the company on legal matters impacting The Global Leader in Working Capital Financial Technology Solutions, particularly in association with the payment and financing solutions The Global Leader in Working Capital Financial Technology Solutions establishes for its customers globally.
  • Ensuring that all legal compliance matters related to assigned projects are identified and appropriately addressed in an accurate and timely manner.
  • Working in close collaboration with other attorneys and colleagues both within the company and at outside law firms.
  • Establishing clearly defined individual goals.
  • Assisting in the creation of new payment solutions and financing structures, and the applicable legal agreements to be deployed using The Global Leader in Working Capital Financial Technology Solutions's technology platform in conjunction with The Global Leader in Working Capital Financial Technology Solutions's financial institution partners and, potentially, capital markets access structures.
  • Helping create companywide internal policies, templates, guidelines, and explanatory memos.

What Are We Looking For?

What You'll Need:
  • 5 years of business law experience, with active bar membership and in good standing, at a premier law firm or corporate legal department (or a combination thereof), including, but not limited to, high impact commercial transactions.
  • Qualified and licensed to practice in GA; NY a plus.
  • Demonstrated strong verbal and written communication skills with ability to communicate at all levels of the organization (including senior leadership, sales force, and customers' senior leadership teams).
  • Previous demonstrated experience drafting, negotiating, and closing complex business transactions, particularly in the financial structuring spheres.
  • Demonstrated superior analytical and drafting skills.
  • Demonstrated experience identifying and resolving complex legal issues, particularly multi-jurisdictional cross-border issues involving substantial funds flows and complex accounting classifications, quickly and effectively, and with the ability to make on the spot risk calls.
  • Demonstrated experience prioritizing conflicting demands from multiple business clients in an extremely fast paced environment.
  • Prior experience using word processing, spreadsheet, and presentation software.
  • Must be willing to work out of corporate offices located in Atlanta, GA (hybrid).
  • Willingness to participate in scheduled calls before or after normal business hours (both early mornings and late evenings) to accommodate global time zone issues.

Prefered:
  • Experience Structuring and Drafting Agreements to Govern Complex Financing Relationships, Including Extensive Knowledge of Receivables Financing (under Ucc Article 9- New York Law); as Well as A Working Knowledge of Trade Acceptance Drafts, Time Drafts Under Ucc Article 3 (new York Law) and Receivables Financing and Bills of Exchange Under English Law.
  • Experience in drafting outsourced services agreements (SaaS licensing agreements).
  • Orientation in the global regulatory environment in the area of data privacy, including awareness (and understanding of the implications) of the EU-U.S. Data Privacy Framework and the EU and UK GDPR.
  • Experience in drafting and negotiating data processing agreements and data privacy aspects of SaaS, vendor and employment agreements and policies, a plus.
  • Strong background in financial accounting. A CPA license or experience with financial audits of public companies, and SEC reporting, a plus.
  • Ability to function as an integral member of the The Global Leader in Working Capital Financial Technology Solutions global legal team function.
  • Basic IP knowledge.
