Overview:
The Senior Legal Counsel will provide legal and commercial advice in support of deal execution, business expansion and growth initiatives. This role will also negotiate a variety of commercial transactions involving a broad range of healthcare entities, including hospitals, health systems, health plans, physician practices and other healthcare organizations. The incumbent will serve as a partner to cross-functional stakeholders by supporting strategic partnerships and connectivity arrangements that drive operational growth. While this role will principally support the Provider business unit, the incumbent will also provide legal support across other business units as business needs dictate.
Duties and Responsibilities:
- Draft, review, negotiate, and manage complex commercial agreements including SaaS, technology services, data sharing, data use agreements, strategic alliances and vendor contracts;
- Structure and negotiate clearinghouse connectivity agreements, trading partner agreements, EDI-related contracts, and interoperability arrangements supporting provider revenue cycle and claims workflows;
- Work cross-functionally with the Sales, Finance and Product teams to ensure that contractual terms are compliant with legal, regulatory and corporate risk preferences;
- Advise internal stakeholders on topics relating to compliance with healthcare laws, including HIPAA, fraud and abuse laws and legal aspects related to Medicare and Medicaid compliance;
- Contribute to legal strategy and day-to-day management of any pending subpoenas, litigation and investigations;
- Provide leadership in responding to regulatory inquiries, audits and investigations relating to healthcare and data privacy topics;
- Advise on the commercial and regulatory implications of proposed data uses;
- Take on additional assignments and responsibilities as business needs dictate;
- Maintain compliance with Inovalon's policies, procedures and mission statement;
- Adhere to all confidentiality and HIPAA requirements as outlined within Inovalon's Operating Policies and Procedures in all ways and at all times with respect to any aspect of the data handled or services rendered in the undertaking of the position;
- Fulfill those responsibilities and/or duties that may be reasonably provided by Inovalon for the purpose of achieving operational and financial success of the Company; and

Job Requirements:
- At least ten (10) years of relevant legal experience as a practicing attorney with at least five (5) years of experience working at a law firm, corporate legal department or similar organization;
- Significant experience drafting, reviewing, negotiating, and advising on complex commercial agreements;
- High volume commercial transactions experience with a sales-driven, software or technology company is a plus;
- Experience supporting healthcare provider organizations such as hospitals, health systems, physician groups, ambulatory practices and payers is preferred;
- Ability to identify and assess legal, operational, and business risks while delivering practical, solution-oriented guidance to business partners;
- Excellent verbal and written communication skills, with the ability to clearly convey complex legal concepts and risks to business and executive stakeholders;
- Ability to effectively manage and prioritize multiple deals, agreements, and deadlines in a fast-paced environment; and
- Strong business judgment, with the ability to think tactically and strategically and provide practical advice by balancing business needs with legal risks.
Education:
A Juris Doctor degree from an accredited law school and licensed to practice law in any US state or the District of Columbia.
Physical Demands and Work Environment:

- Exerting up to 10 pounds of force occasionally and/or negligible amount of force;
- Subject to inside environmental conditions; and
- Travel for this position is expected to be less than 10%.
