Description:

Bay Legal, PC is hiring a Senior Healthcare Business Attorney with 10+ years of experience to lead our California healthcare-business practice, including work marketed through our MedBizLaw.com healthcare platform. This role is built for an attorney who already lives in MSO-PC structuring, Corporate Practice of Medicine (CPOM) compliance, and fee-splitting/Anti-Kickback risk — not someone learning it on the job.

What You'll Do:
  • Structure MSO-PC arrangements under California Business & Professions Code 2400 and the Moscone-Knox Professional Corporation Act.
  • Audit and redraft MSO agreements for compliance with SB 351's restrictions on PE/MSO control of clinical decisions.
  • Prepare OHCA material-transaction notices for MSO, PE, and healthcare entity deals.
  • Build defensible management-fee structures using fair-market-value analysis to avoid fee-splitting (Cal. Bus. & Prof. Code 650), Anti-Kickback, and Stark Law exposure.
  • Structure medical spa MSO-PC deals, medical director agreements, and delegated-
  • services protocols.
  • Draft and negotiate MSAs, BAAs, physician/medical-director agreements, and governance documents.
  • Advise clients on formation, restructuring, acquisitions, and exit-readiness tied to CPOM and MSO regulatory risk.
  • Manage matters directly with clients and delegate to paralegals and legal assistants.

What You'll Need:
  • J.D. and active California State Bar membership in good standing.
  • 10+ years of healthcare law, healthcare transactions, or business law experience.
  • Hands-on experience structuring California MSO-PC arrangements.
  • Working knowledge of California fee-splitting law, the federal Anti-Kickback Statute, and Stark Law.
  • Direct familiarity with SB 351 and OHCA material-transaction notice requirements.
  • Experience building fair-market-value methodology for management fees.
  • Strong contract-drafting and deal-structuring skills.
