Overview: A Financial Technology Compa Capital Markets team plays a pivotal role in executing the loan distribution and sales process for the point-of-sale consumer finance program administered by the Company. In 2024, the Company transitioned to a funding model with extensive capital markets and asset-based financing initiatives, including multiple warehouse finance facilities, forward flow structures, asset-backed securitizations (ABS) and other sales activities. We work collaboratively with internal and external partners to facilitate these initiatives. The Company is seeking a Capital Markets/Securitization/ Structured Finance Lawyer to support these efforts and be a vital member of the Capital Markets team.Organizational: This position is a member of the Legal and Compliance Department, reporting to A Financial Technology Compa's Senior Structured Finance & Corporate Counsel, and will primarily support the Capital Markets team.
Duties & Responsibilities:
- Provide comprehensive legal support in connection with the negotiation, structuring and documentation of transactions initiated by the Capital Markets team, across a range of complex structures including warehouse finance facilities, forward flow facilities, asset-backed securitizations and other sales activities, among others.
- Draft, review, and negotiate a broad range of transaction documents (where applicable, with the assistance of external counsel) for transactions initiated by the Capital Markets teams, ensuring compliance and protection of A Financial Technology Compa's interests.
- Oversee the organization of all structured finance transaction-related entities and UCC filings, and ensure effective internal record-keeping
- Assist with the ongoing operation, monitoring and management of existing transactions, including working with deal teams through routine/recurring activities and requirements, as well as waivers, amendments, and restructurings.
- Support the due diligence and compliance review process for new and existing structured finance and other transactions.
- Contribute to the development and systematization of legal processes and guidelines (from concept to execution).
- Supervise and monitor outside counsel and related work product/effectiveness in connection with the foregoing.
- Coordinate with internal stakeholders, including, among others, Legal, Compliance, Finance, Product, Operations and Audit teams, to ensure consistency of coverage and adherence to firm policies, procedures and contractual requirements.
- Depending on experience/expertise and volume of work, there may be opportunities to support other functions within the Legal Department
Required Skills/Qualifications:
- Juris Doctor (JD) degree from a highly regarded American law school; admitted to practice law in the relevant jurisdiction based on location or as required by applicable bar rules.
- 2+ years of relevant experience as an attorney working on ABS and/or RMBS transactions, warehouse and other asset-based financings, forward flow facilities and other related capital markets transactions, preferably within a major law firm, bank, or corporate law division.
- Understanding of legal and regulatory policy issues affecting the securities and ABS markets and securities market practices.
- Experience working with asset classes involving consumer loans.
- Strong analytical and problem-solving skills, with a keen attention to detail.
- Excellent written and verbal communication skills, capable of effectively translating complex legal concepts and related Company risks to management.
- Ability to assess, balance and mitigate risk and actively engage with the business teams to creatively structure and negotiate deal terms.
- Ability to prioritize tasks efficiently and respond to Capital Markets team and management demands promptly.
