Job Summary:
The Head of Legal Affairs role is an in-house senior legal attorney role reporting directly to the Company's General Counsel. He or she will be responsible for a variety of legal projects and matters across the legal departments of An Indian Multinational Pharmaceutical Company, Taro Pharma, and their respective subsidiaries and leadership. The role requires significant interaction with business leaders throughout the organization as well as other members of the Legal team.

Essential Job Functions:
The Head of Legal Affairs will:
  • Provide legal advice across Sun's North America operation and Taro Pharma's global operation, including to various subsidiaries and business units.
  • Provide counsel and advice in matters involving litigations, disputes, arbitrations and mediations, commercial transactions, business development and M&A activity, regulatory, employment law, data-privacy, corporate governance, antitrust/competition law, investigations, public policy and lobbying, and government affairs.
  • Work closely with the legal, compliance, and IP teams to ensure alignment across various legal matters and company initiatives, and will regularly advise senior and executive leadership, the companies' subsidiaries, and business units including finance, sales, IT, HR, manufacturing, and quality on legal and compliance obligations and risk mitigation.
  • Negotiate various commercial agreements; advise HR on employment and talent matters.
  • Advise business development teams with respect to potential acquisitions.
  • Work on government affairs and outreach with various state, federal, and foreign regulators and governmental entities.
  • Oversee corporate lobby and policy initiatives.
  • Work on litigations involving products liability, commercial, employment, securities, and antitrust claims, including multiple class action lawsuits.
  • Assist with commercial disputes; will assist with internal and government investigations.
  • Work closely with compliance personnel and assist in drafting and implementing policies and procedures (SOPs).
  • Work on various data-privacy matters.
  • Work with company's insurance carriers and brokers on various policy claims.
  • Directly support the General Counsel, and work in tandem with the Heads of Transactions, Litigation, and Regulatory, across legal matters.

The ideal candidate for this role will have prior experience as a senior lawyer at a pharmaceutical or life sciences company, law firm experience, government experience, and/or clerkship experience, along with an exceptional track record of successfully advising pharmaceutical or life sciences companies in various commercial work.

Requirements and Qualifications:
  • Must be admitted to practice law in the United States and be a member of the Bar in good standing in either New Jersey or New York [or be eligible for an in-house bar license]
  • J.D. or L.L.M. from an accredited law school is required with an exceptional educational background preferred.
  • A minimum of 8 years of experience at a top law firm in a strong life sciences practice group and/or significant in-house general corporate and transactional experience at a pharmaceutical company.
  • Strong business sense and proven track record in successfully negotiating complex commercial agreements and/or handling significant litigation and pre-litigation matters.
  • Preference for candidate with experience with pharmaceutical reimbursement, buy-and-bill, the anti-kickback statutes, and HIPAA.
  • Preference for candidate with understanding of pharmaceutical distribution supply chain and ability to negotiate and implement agreements related to all stages of supply chain.
  • Preference for candidate with experience advising on privacy issues.
  • Preference for candidate with experience advising multi-national corporations and ability to harmonize strategy across-countries.
  • Exceptional ability in providing practical advice to clients rather than simply issue spotting, the candidate must be willing and able to partner with the business.
  • Excellent written and interpersonal skills and ability to interact with executive and internal staff as well as external parties.
