Sr. Director, Associate General Counsel, Commercial Lead

As we continue to scale, we are seeking an experienced and business-minded commercial transactions leader to help build a world-class, customer-focused legal function that enables Evolv to grow responsibly.

Reporting directly to the General Counsel and partnering closely with GTM leadership, this role offers a unique opportunity to elevate Evolv's commercial legal function—streamlining deal execution, supporting our channel partner ecosystem, and shaping the foundation of a global commercial legal team. You will help architect a contracting engine that balances operational efficiency with risk mitigation and supports Evolv's expansion into new markets and verticals.

What You'll Do:
Strategic Legal Leadership
  • Lead a small but high-performing commercial legal team, covering strategic and enterprise transactions, as well as partner deals, globally.
  • Serve as key legal advisor to Sales, Channel, and other cross-functional leaders.
  • Play a crucial leadership role in legal team strategy, operations, and goal setting.
  • Monitor legal and regulatory developments that are relevant to Evolv's GTM business - think ahead, see around corners, and help prepare for and minimize risks that may arise in the future.

Build a Scalable Contracting Engine with GTM Enablement

  • Design, deliver, and automate scalable contracting frameworks, playbooks, templates, and end-to-end contracting processes that reduce friction and accelerate sales cycles.
  • Collaborate with Finance, Compliance, and Product on strategic initiatives such as partner programs, new product launches, renewals, and customer policies.
  • Partner cross-functionally to ensure GTM strategies and contracts are supported with the right policies, training, and infrastructure.
  • Design scalable terms and processes that support customer-friendly renewals and cross-selling opportunities.

Commercial Contracting and Global Deal Support

  • Negotiate complex commercial contracts, identifying those aspects of an agreement or transaction that matter most to the business, and being proactive and pragmatic in addressing potential issues. Examples of agreements include strategic transactions and partner agreements, license agreements, supply chain and distributor agreements, SaaS and professional service agreements, data processing agreements, and vendor contracts.
  • With support of outside counsel, oversee public sector and education contracting, including federal/state procurement compliance, bid strategy, and risk mitigation.
  • Drive legal support for direct, channel, and distribution agreements in both domestic and international markets.

Where is the role located?
This role is based out of the HQ in Waltham, Massachusetts with flexibility in being remote 2 days per week.

Qualifications and preferred experiences:
  • 12+ years of relevant legal experience, preferably in-house with expertise in enterprise SaaS or AI-enabled technology companies.
  • Extensive experience negotiating complex B2B sales and channel contracts. Preference for experience in regulated/public sector environments (e.g., state/local government, K-12, federal) and hardware-enabled SaaS.
  • Proven ability to manage and scale a legal team with a focus on talent development and high performance.
  • Comfortable navigating multiple priorities and collaborating cross-functionally to make thoughtful decisions.
  • Operationally excellent and proactive in building systems, tools, and workflows.
  • Highly effective interpersonal skills with the ability to work with a wide variety of people at all levels inside and outside the organization.
  • Service-oriented, responsive, and professional, with strong integrity.
  • JD and admission to practice in at least one U.S. jurisdiction; international legal experience a plus.
