As Sr. Counsel, Technology Transactions, you will assist with commercial contracting and deal execution across the full lifecycle of our humanoid robotics business.
You will work closely with Sales, Business Development, Finance, Engineering, Manufacturing, and Supply Chain teams to structure, negotiate, and close deals that support the design, manufacture, and commercialization of our robots.
This is a highly cross-functional, high-impact role for someone excited about solving novel commercial and contracting challenges raised by bringing bleeding-edge autonomous robotic systems to market.
About the Work:
Commercial Contracting & Deal Support
- Draft, review, and negotiate a wide range of commercial agreements, including customer agreements, pilot and deployment agreements, and licensing agreements,
- Partner with Sales and Business Development to structure deal terms that balance business objectives with legal risk.
- Support 0→1 commercial launches and novel deal structures for early-stage customer and partner relationships.
- Develop and maintain template agreements, playbooks, and negotiation guidelines to scale the contracting process.
- Negotiate supply, manufacturing, and component sourcing agreements with domestic and international vendors.
- Advise on IP ownership, licensing, and indemnification provisions in manufacturing and OEM/ODM arrangements.
- Support hardware and firmware licensing arrangements, including third-party technology integrations.
- Assess and mitigate supply chain risk, including allocation, warranty, and liability provisions.
- Structure and negotiate technology licensing, joint development, and IP assignment agreements.
- Advise on IP ownership and licensing considerations in collaborations with research institutions, universities, and technology partners.
- Support patent, trademark, and trade secret protection strategies in collaboration with IP counsel.
- Advise on limitation of liability, indemnification, warranty, and insurance provisions across commercial agreements.
- Partner with Finance and Insurance teams to align contract terms with the company's risk tolerance and coverage.
- Provide practical, business-minded legal guidance to internal stakeholders navigating deal execution under tight timelines.
About You:
- Juris Doctor (JD) or equivalent law degree from an accredited institution.
- Active and in good standing bar membership in at least one U.S. state or equivalent foreign jurisdiction, with the ability to obtain authorization to practice where required.
- 6–10+ years of post-qualification legal experience as a practicing transactional attorney, including law firm, in-house, and/or government experience.
- Demonstrated experience drafting and negotiating commercial, supply/manufacturing, and technology licensing agreements, ideally for hardware, robotics, or technology companies.
- Strong deal-structuring experience, including support for advanced product teams and 0→1 product launches.
- Experience with corporate transactions, including financings, joint ventures, M&A, and strategic partnerships.
- Familiarity with intellectual property, licensing, export control, and international commercial law considerations.
- Proven business judgment and ability to provide solution-oriented legal advice that facilitates business objectives.
- Ability to manage ambiguity, prioritize competing demands, and create structure in fast-moving environments.
- Strong communication and stakeholder management skills, including influencing executive-level partners.
- Commitment to team success, with a collaborative mindset and willingness to support colleagues as needed.
- High tolerance for pressure, strong crisis-management capabilities, and comfort working under tight deadlines.

- This is a fully remote role with the option to work hybrid if a commutable distance from our Salem, OR, Pittsburgh, PA, or Fremont, CA offices.
