Role Summary:
The Legal function is a strategic function critical to developing and managing the business. It forms part of the Legal and Executive Team (the “Team”) which is one of the corporate functions within Dalkia. Will assist the Dalkia team, particularly the commercial team, provide a pro-active, preventive, and commercially relevant legal service to Dalkia U.S. and all its respective business units and subsidiaries.

What would you be doing at Dalkia?
  • Provide timely, preventive, and commercially relevant legal advice to the business on contractual, procurement, statutory, and, regulatory issues, and to incorporate these changes in the contractual documents
  • Work closely with clients within the business units to understand their objectives and business drivers and to identify current and future legal requirements.
  • Engage with all entities of the Company, for the quality of the expertise produced. This expertise covers all areas of law relating to the development, design, construction, operation, and financing of projects in which the group participates in the areas of Construction, Energy Efficiency and lighting projects, Cooling as services, Operation, and Maintenance.
  • Contribute to the development of complex contractual and financial agreements intended for clients who can represent all the group businesses.
  • Advise Dalkia on the preparation and submission of project proposals.
  • Support the commercial team in integrating the Company's mark-up in the legal portion of project proposals.
  • Review, draft, and participate in the negotiation of contracts, leading the negotiation process where appropriate.
  • Assist the Company, its directors, and employees on corporate matters and assist in the management of the company secretarial requirements.
  • Advise on the acquisition and disposal of assets, M&A projects, the entry into joint-venture agreements, and other forms of development arrangements including advice relating to effective structuring.
  • To develop and deliver training courses appropriate for the business and for other members of the Company as required.
  • Management of disputes and claims in the area, drafting legal arguments, and preparing settlement offers.
  • Be an ambassador for the group's business ethic and social responsibility ambitions and assist as needed.
  • Travel to Beverly, MA, or San Antonio, TX offices and other Dalkia premises within the United States will be required as business needs dictate.

  • Qualifications, Skills, and Experience
  • Barred Attorney in any state in the United States
  • 5-10 years post-JD experience
  • Experience delivering pro-active and business -focused service that manages problems
  • Experience in a multicultural environment
  • Industry-specific (construction, engineering, PPP, ESCO) legal knowledge would be appreciated
  • Ability to work with remote teams
  • Strong interpersonal and communication skills
