This position is an opportunity for the selected candidate to partner with An American Multinational Conglomerate Company Strategy & Business Development team, business teams within An American Multinational Conglomerate Company segments, and the legal and other corporate functions, to advise on and execute merger and acquisition (M&A) and other strategic transactions across An American Multinational Conglomerate Company.

Job Description:
Roles and Responsibilities:
If this opportunity excites you, here are some areas where we could use your help:
  • Partnering with An American Multinational Conglomerate Company's Strategy & Business Development team to provide legal advice for M&A transactions (mergers, acquisitions, divestitures, carve-outs, joint ventures, minority investments, collaborations, technology partnerships, licensing programs, etc.).
  • Managing all aspects of domestic and international transactions from inception to completion, including establishing appropriate transaction structures, coordinating the due diligence process, drafting and negotiating definitive transaction agreements and ancillary documents, including confidentiality agreements and letters of intent, handling the internal approval process and supporting closing transactions and post-closing integration.
  • Driving execution of transactions through collaboration with cross-functional teams, including Finance, Tax, Compliance, IP, Healthcare Regulatory and Quality and HR.
  • Coordinating with outside legal counsel and other advisors or consultants.
  • Protecting the organization through assessment and mitigation of risk.

Required Qualifications:
  • Strong corporate and transactional practice, including handling legal aspects of complex transactions and advising on deal structure and strategy, overseeing the deal process, drafting and reviewing transaction documents and leading negotiations.
  • JD or equivalent from an accredited law school.
  • Minimum of 4-6 years of experience in working as an M&A/corporate practitioner at a top tier law firm or multi-national company.
  • Member in good standing with at least one state bar association.
