Primary Responsibilities:
  • Serve as the Senior Counsel of Integrity Life & Annuities, and play the lead transactional role supporting all of the Integrity Life & Annuities portfolio of companies
  • Work closely with the Integrity Life & Annuities executive team (including the President of Integrity Life, C-level executives of Integrity Life and the Integrity Life compliance team) to undertake, manage and execute Integrity Life & Annuities strategic, corporate and regulatory reorganization
  • Review and negotiate commercial transactions with important counterparties
  • Support the Integrity Life & Annuities counterparties in the legal aspects of advisor and client transitions
  • Work collaboratively with important stakeholders within Integrity Life & Annuities and with Integrity as a whole to ensure that important business objectives are met
  • Work collaboratively with compliance and regulatory teams to ensure robust internal processes over transactions, compliance and risk management

Required Competencies:
  • Strong transactional background in commercial transactions, M&A or funds, with at least 4-6 years of experience at a law firm or in-house at a company with demonstrated experience
  • Strong drafting, critical thinking and negotiating skills
  • Must be a proactive and confident leader, with the willingness to “lean in” and provide robust legal advice and direction to the Integrity Life & Annuities business teams
  • Fast learner, and willingness to learn and tackle whatever comes in through the door related to reorganization, regulatory considerations, commercial transactions, products etc.
  • Excellent writing and communication skills and the ability to identify, initiate and conclude strategic objectives in a collaborative, team-based “no ego” environment.
  • Solutions-oriented legal advisor who is willing to “roll up sleeves”, understand the issues and work at solving them independently
  • Confident legal advisor to the other stakeholders and demonstrate reasoned balance between risk management and business practicalities
  • Strong intellectual curiosity and desire to professionally develop and grow
  • Service-oriented and good team player

Requirements:
  • Juris Doctor from an Accredited Law School
  • 4-6 years of big-law or comparable in-house experience
