As a Senior Legal Counsel, you will responsible for reviewing, analyzing, and negotiating sales agreements with Fortinet's largest commercial customers in the Americas. You will work with Fortinet's sales teams and executives to negotiate sales agreements for products, services, and software.

Job Duties:
  • Assist in the development and negotiation strategy, providing input and guidance on the commercial and legal elements of transactions.
  • Interact effectively with senior management and have a successful track record as both a legal advisor and business leader.
  • Collaborate with, and advise cross-functionally stakeholders, including service, sales, operations, marketing, product and engineering, and finance, to ensure that agreements adequately protect Fortinet's interests.
  • Review and provide input on terms and conditions contained in RFP's and sales proposals.
  • Lead negotiations for the sale of hardware products, services, and software.
  • Assist Fortinet's VP of Legal and Compliance, Americas with reviewing, structuring, drafting and negotiating vendor, procurement, and marketing agreements, contract manufacturing, OEM and ODM agreements, real estate purchase and lease agreements, alliance agreements, sales agreements, assisting with RFPs, providing Certifications, reviewing NDAs and other legal related activities.
  • Assist the Legal team with other matters, such as perhaps litigation matters and disputes, on an as-needed basis.
  • Assist Fortinet's VP, General Counsel with Corporate Development, M&A activities and Strategic Alliances as needed.
  • Own reviewing, structuring, drafting and negotiating complex enterprise sales agreements, marketing and vendor agreements, reviewing and providing sales certifications, reviewing NDAs and other legal related activities in the United States and other geographic areas as needed.
  • Own compliance initiatives and controls for the United States, including compliance training and controls and other matters.
  • Own the cross-functional approval process for complex sales agreements.
  • Manage outside counsel and assist with subsidiary management, and other issues as needed.
  • Substantial time at Fortinet's Sunnyvale headquarters, Covid permitting, and periodic travel may be required

Job Experience:
  • Experienced attorney with 5+ years of relevant sales negotiation and transactional legal experience required in the U.S. and transactional experience related to Canada and/or Latin America a plus.
  • The ideal candidate has in-house experience with knowledge of the technology/computer industry, preferably cybersecurity.

Educational Requirement:
J.D. from a top law school, with demonstrated success based on GPA and other accomplishments; California bar admission required. Technical degree a plus.
