We're looking for a Senior Counsel, Global Channels and Professional Services, to join Procore's Legal, Regulatory & Compliance (LRC) Department. In this role, you'll work closely with Procore's Channel leadership to stand up a global channel program and guide complex transactions with channel partners through review, negotiation, and execution. You'll also support Procore's Professional Services organization in optimizing its go-to-market (GTM) and service delivery motions for scale. To succeed in this role, you'll need to show up as a trusted advisor and thought partner who is committed to delivering practical advice and driving multiple initiatives simultaneously.

As Senior Counsel, Global Channels and Professional Services, you'll partner with cross-functional teams, including Sales, Finance, Security, Privacy, Product, Engineering, and Marketing, to ensure we provide exceptional GTM support to expand Procore's sales and delivery reach internationally, help the company scale and accelerate deal velocity in a rapidly evolving, fast-paced environment. Your passion for technology and deep knowledge of channel and professional services in a global commercial SaaS environment allows you to provide practical and solution-oriented advice to your business partners, effectively calculate potential risks, manage workloads, and prioritize multiple business partner demands. This role is an exciting new position that will play an important role in the next chapter of Procore's GTM evolution.

This position will report to our Director & Assistant General Counsel, Global Channels and Professional Services. This role can be remote or based in one of Procore's U.S.-based office locations. We're looking for someone to join us immediately.

What You'll Do:
  • Serve as legal subject matter expert for Procore's channel programs and professional services offerings, providing direct support to the Global Partner Program Office, Partner Success Managers supporting our regional General Managers, and the Global Professional Services organization and leadership in charting the strategy for and building global channel and service programs; helping the business excel by delivering valuable legal guidance to make informed decisions, move quickly, and mitigate risk; and building bridges between cross-functional teams to drive impact and results directly aligned to Procore's corporate strategic priorities
  • Structure, draft, and negotiate complex strategic partnership, channel, and services agreements, including professional services agreements, subcontractor agreements, and channel agreements (e.g., reseller, fulfillment, co-sell/referral, and distributor agreements), guiding the business to shape deals based on a clearly defined GTM strategy
  • Provide practical, commercial guidance and compliance advice to global Sales executives and internal stakeholders on a variety of channel- and services-related legal issues, balancing business objectives with legal risks, including identifying, managing, and communicating risks and opportunities in GTM models and revenue transactions and analyzing and interpreting complex business partnership structures and contractual provisions
  • Use your considerable experience to help shape business and legal terms and deal structures to ensure that channel programs and contract terms are compliant with applicable law, aligned to company policies, and appropriately manage risk, and to help improve internal processes and procedures, achieve better outcomes, and enhance transaction velocity
  • Develop, maintain and continuously refine templates, playbooks, fallback guides, guidelines, research files, FAQs, policies, processes, procedures, and other tools essential to the efficient, scalable, and effective functioning of the Legal GTM function
  • Efficiently manage and partner with outside counsel to augment the Legal GTM team, as needed
  • Be accountable to the Legal GTM function's OKRs to ensure the function's continuous high performance
  • Deliver training and education to the Professional Services and Channels organizations on processes, agreements, forms, provisions, negotiation best practices, antitrust and global competition law issues in pricing and channel motions, and other relevant legal and sales enablement issues, as applicable
  • Stay informed and advise on the impacts of relevant new and proposed regulations, antitrust and global competition law developments, SaaS, cloud computing, commercial law, industry trends, and best practices applicable to your areas of responsibility in the markets in which we operate

What We're Looking For:
  • Must be admitted, active, and in good standing with the state bar in which the position is located, or with another state bar and registered, or eligible to register, as in-house counsel with the state bar in which the position is located
  • 10+ years of relevant experience in a high-growth SaaS environment supporting channel and professional services organizations
  • Extensive experience developing, drafting, reviewing, and negotiating complex commercial and SaaS global channel partner agreements (including on partner paper and cloud marketplaces) and professional services offerings and agreements, and a deep understanding of the related channel and service partner sales and delivery motions, preferably with a company of significant size and scale
  • Deep understanding of SaaS business models, channels, and professional services motions, global antitrust and competition law, commercial negotiation best practices, and familiarity with revenue recognition and related SaaS accounting standards, processes, systems, issues, and terminology
  • Comfortable negotiating data privacy agreements, including a working knowledge of global privacy law,s including EU Data Act, GDPR and CCPA/CPRA as they relate to commercial contracts
  • Highly agile, results-oriented, solution-minded, tenacious, resilient self-starter and creative problem-solver with ability to manage shifting client demands and priorities in a fast-paced, global, high-growth environment
  • Detail-oriented, organized, efficient, and resourceful with exceptional follow-through skills
  • Clear communicator able to explain complex concepts simply in a manner that resonates with business stakeholders, and who enjoys educating and thought-partnering with others
  • Exceptional business acumen, judgment, and discretion in dealing with highly sensitive information
  • Outstanding interpersonal skills and demonstrated ability to navigate a dynamic workplace to identify and collaborate with key stakeholders, influence without direct authority, and interface effectively with all business functions and levels to drive business initiatives
  • Demonstrated track record of motivating and influencing both internal and external stakeholders and success in executing in a fast-paced, rapidly growing global sales environment
  • Keen interest in leveraging AI technologies (such as Google Gemini, NotebookLM, and Harvey) to amplify your reach, recapture bandwidth, and enhance productivity
  • Experience and skills working in Google applications (including Google Slides, Drive, Docs, and Sheets), Slack, Jira, Salesforce, Ironclad, DocuSign, SimpleLegal, and E2Open preferred

Additional Information:
Base Pay Range $200,000 - $275,000. Eligible for Bonus Incentive Compensation. Eligible for Equity Compensation.
