Applied Materials, Inc. (AMAT) has immediate need for a Senior Counsel, Ethics & Compliance to join its Global Ethics & Compliance team and play an integral role in sustaining and continuously improving its Ethics & Compliance (E&C) program. Based in either Austin, TX, or Santa Clara, CA, this will be a high-profile role reporting to the Director, Ethics & Compliance.

Applied Materials’ materials engineering solutions are used to produce virtually every new semiconductor and advanced display in the world. As Senior Counsel, you will join a multidisciplinary team that is responsible for compliance with our Standards of Business Conduct, and is a trusted advisor to the business, while operating and supporting the continuous improvement of an integrated, risk-based, and innovative global Ethics & Compliance program that promotes Applied’s Core Values across the company.

This program-focused role will help shape and execute global initiatives focused on ethics and integrity, conflict of interest, anti-bribery and corruption, FCPA, policy and regulatory compliance, and third-party due diligence, as well as related awareness campaigns and training. This will include building and maintaining cross-functional partnerships to ensure Applied Materials maintains industry-leading practices.

Major Areas of Responsibility
  • Serve as a subject matter expert to advise internal stakeholders, including business units, legal colleagues, and other support functions regarding the business ethics and compliance risks and implications arising from U.S. and international anticorruption laws and regulations.
  • Draft, update, and support the roll-out and implementation of E&C policies, best practices, and related procedures to internal stakeholders.
  • Creatively build upon and drive employee engagement and awareness campaigns on compliance issues, including developing and delivering training on a broad range of risk topics, including business ethics, anti-corruption, business gifts and customer engagement, fraud, and conflicts of interest.
  • Operate E&C controls related to conflict of interest, third party management, business gifts and entertainment and other corporate expenditures, and risk assessment while supporting and identifying initiatives to advance program scope, accuracy, and efficiency through automation and cross-functional collaboration.
  • Partner with legal colleagues to support commercial and M&A activity through risk assessment, contract review and revision, and due diligence.
  • Assist in performing routine risk assessments and monitoring of ongoing compliance in coordination with other compliance and operational assessment functions.
  • Support regular preparation of reports to executive audiences and governance functions, as well as efforts to measure and assess program effectiveness.
  • Support company engagement with government, industry, and peer groups on compliance issues.

Qualifications
  • J.D. from an accredited law school and 6+ years’ relevant experience both in-house and with a top-tier law firm, with substantial focus on Ethics & Compliance counseling, program design, and operation.
  • Demonstrated ability to deliver practical guidance clearly and concisely, as well as a consistent track record of being proactive, while managing multiple and complex projects.
  • Capacity for complex problem-solving.
  • Demonstrable experience supporting enterprise-wide change and ability to influence beyond authority in a complex and matrixed organization.
  • Excellent verbal and written communication skills, impeccable integrity, good judgment, strong analytical skills, flexible, pragmatic, and a keen sense of humor. Thought leadership in Ethics & Compliance or a related field is a plus.
  • Collaborative by nature and able to build strong partnerships.
  • Comfortable in a fast-paced environment and able to manage and prioritize a diverse and complex workload.
  • Demonstrable ability to drive global, enterprise-wide policies and practices, with substantial experience working with business partners in APAC (including India).
  • Language skills (Mandarin, Korean, or Japanese) are highly desirable.

U.S. Salary Range:
$160,000.00 - $220,000.00

The salary offered to a selected candidate will be based on a number of factors including location and level and will vary depending on confirmed job-related knowledge, skills, and experience. In addition to a comprehensive benefits package, candidates may be eligible for other forms of compensation such as participation in a bonus and a stock award program, as applicable.
