Job Summary:

This position resides in the Legal team and will report to the Managing Counsel. This position serves as the primary negotiator and drafter of various legal agreements for clients and is responsible for supporting the legal activities related to contracting support.

Job Description:
Key Accountabilities:
  • Advise internal clients on complex legal issues pertaining to deal structure, risk allocation, and contractual strategy
  • Identifying key legal and commercial issues and proposing pragmatic, business focused solutions particularly with respect to wholesale trading
  • Draft, review, and negotiate commercial agreements, and other legal documents including, but not limited to, standard trading agreements (EEI, ISDA, and NAESB)
  • Provide guidance for complex energy services and infrastructure development projects, including drafting and negotiating complex agreements and transactional documents
  • Supporting procurement and supplier contracting and negotiation
  • Negotiate and structure transactions to support business objectives
  • Coordinating with external counsel where specialist input is required
  • Supporting broader legal matters as needed in a growing in house function

Education, Experience, & Skill Requirements

  • Juris Doctor degree from an accredited U.S. law school required.
  • Active U.S. State Bar license and member in good standing.
  • Minimum of 8 years' legal experience in drafting and negotiating complex commercial transactions
  • Strong written and verbal communication skills, including the ability to handle multiple projects in a fast-paced work environment
  • Strong problem-solving abilities
  • Energy industry experience preferred

  • Ensure compliance across all function of the contracting process
  • Develop effective partnerships with internal clients to identify and mitigate legal risks while achieving contracting objectives
  • Timely and accurate updates and reporting to stakeholders and business clients regarding contracting status that may affect business deliverables and projects
