Base Compensation Range: 195,000-210,000

Corporate & Securities Counsel role at a glance
The Sr Counsel- Corporate & Securities will serve an important role within the legal department's corporate secretary team. The role would report directly to Corporate Secretary & Deputy General Counsel – Corporate Governance & Securities, and responsibilities will cover the entire spectrum of corporate and securities matters that confront a large public U.S. company, including preparing and reviewing SEC filings, including Forms 10-K, 10-Q, 8-K and proxy statements, Section 16 filings, , assisting with matters related to the board of directors and advising on corporate and board governance, required disclosures, insider trading, investor relations, tax and treasury-related matters.

What's on the menu?
  • Preparing and reviewing SEC filings, including 10-Ks, 10-Qs, 8-Ks, , proxy statements, registration statements, etc. and advising on applicable securities law issues, including but not limited to non-GAAP financial measures and Regulation FD compliance.
  • Supporting the Corporate Secretary in preparation for and organization of Board of Directors and Committee meetings Providing corporate secretarial support for the Company's Board of Directors and annual shareholders meeting, including preparing and reviewing materials for the Board of Directors and its committees and the Company's proxy statement.
  • Monitoring and ensuring compliance with federal and state securities and corporate laws, as well as applicable rules and regulations of Nasdaq and industry organizations that affect public company reporting or compliance, including Sarbanes-Oxley, Dodd Frank, ISS, and Glass Lewis.
  • Preparing and filing all Section 16 forms for Section 16 officers.
  • Supporting the maintenance of and compliance with the Company's insider trading policy and supporting the creation and termination of Rule 10b5-1 plans.
  • Advising on Investor Relations matters, including earnings releases, presentations, and scripts.
  • Providing legal support for tax restructuring projects, capital markets, and bank financing transactions and related diligence, including preparing documentation and advising internal clients.
  • Supporting global corporate initiatives and subsidiary management, including preparing and reviewing organizational documents and maintaining corporate records.
  • Coordinating cross-functionally with Tax, Treasury, and other teams as needed on subsidiary projects, including subsidiary creation, ownership changes, capital changes and other matters.

  • I have a JD Degree from an accredited law school
  • I have strong experience with SEC, corporate governance and corporate finance.
  • Minimum 8+ years' experience in securities and/or corporate law (particularly in SEC compliance), board and corporate governance, and capital markets
  • I have excellent management skills and business judgment with a capacity to make decisions and give advice, which demonstrates an understanding of overall business objectives and the risks/rewards of each situation.
  • I have strong organizational skills, flexibility, and ability to thrive in a fast-paced environment.
  • I have a proactive personality, eager to learn new areas of the law and committed to understanding the industry and the company's business.

New Hire Base Salary Range:
$159,400.00 – $199,200.00

Bonus: This position is eligible for a performance-based bonus as provided by the plan terms and governing documents.

The compensation offered will take into account internal equity and may vary depending on the candidate's geographic region, job-related knowledge, skills, and experience among other factors
