Summary of Essential Duties and Responsibilities:
The Senior Counsel Serves as Day-To-Day Legal Advisor on A Wide Range of Regulatory And/or Other Compliance Matters; Negotiates and Drafts Agreements; Serves as In-House Counsel on Certain Litigation Matters; Manages Outside Counsel; Advises Executives and Board Members on Corporate Governance and Compliance; Supports Responses to Audits, Government Investigations, and Regulatory Reviews; Drafts and Reviews Policies, Procedures, Bylaws; May Participate in Interdisciplinary Internal or Multiagency Workgroups; Monitors Legal and Regulatory Developments and Provides Actionable Guidance or Training. the Senior Counsel May Supervise Associate Counsel or Paralegal Staff on Projects.

The Senior Counsel's Portfolio May Vary Depending on Office Needs and Their Particular Expertise and Experience. in This Role, the Senior Counsel Should Have Demonstrated Expertise and Experience in Either Litigation, Health Care Regulatory, or Transactional and Corporate Law.

General Tasks and Responsibilities Include:
Depending on The Needs of The Office and The Expertise of The Senior Counsel, Tasks and Responsibilities Could Include:
  • Litigation. Manage Outside Counsel or Otherwise Assist with Litigation; Handle Claims or Subpoenas; Lead or Assist with Internal Investigations.
  • Corporate. Draft Board Resolutions; Advise on Open Meetings Law and Public Officers Law Compliance; Review Board Minutes; Advise on And Drafts Bylaws and Other Corporate Documents; Advises Board Members and Officers on Legal and Fiduciary Responsibilities.
  • Contracts and Transactions. Review, Negotiate, Draft and Interpret Contracts, Mo Us, or Other Agreements; Support Affiliations, Joint Ventures, or Other Strategic Transactions.
  • Legislation and Regulations. Review and Analyze Proposed or Enacted Legislation, Regulations, or Agency Guidance and Support Advocacy or Implementation Efforts
  • Supervision of Junior Staff. Supervise Associate Counsel And/or Support Personnel on Particular Projects or Functions.

Other. All Other Tasks as Assigned by The Supervisor

Minimum Qualifications:
  • Admission and Active Membership to New York State Bar; And
  • Six (6) Years of Relevant, Responsible Experience and Background in The Practice of Law Subsequent to Admission to The Bar; Or
  • Four (4) Years of Relevant, Responsible Experience and Background in The Practice of Law Subsequent to Admission to The Bar; and Four (4) Years of Progressively Responsible Experience in A Professional or Managerial Capacity in Respective Areas Applicable to The General Body of Law, Specialties or Practice.

Preferred Skills:
  • In-House Experience, as Well as Specialized Knowledge and Experience with Real Estate Contracting in A Healthcare Environment.
  • Excellent Interpersonal, Analytical, and Oral and Written Communication Skills
  • Computer Literacy with Excellent Skills in Microsoft and Google Office Suites
  • Ten Years of Relevant Transactional Experience Subsequent to Admission to The Bar
