Description:

The Senior Counsel will provide legal support for a wide range of transactions and corporate governance. This role will serve as a trusted advisor to leadership and internal stakeholders advising on legal risks, structuring complex transactions, and ensuring compliance with applicable laws and regulations.

Day-to-Day Role:
  • Responsible for legal matters pertaining to entity formation and continuation, ensuring compliance with governing documents
  • Draft, review and negotiate legal documents, including financing arrangements, contracts, and shareholder and member related documents
  • Provide support, offer legal solutions, and implement actions as necessary to fulfill DFSS, its clients or business partners' recommendations
  • Provide legal support for Treasury and Tax Planning initiatives
  • Maintain corporate minute books, including preparation of minutes and resolutions
  • Maintain the corporate records databases and provide oversite to databases currently being used
  • Provide legal support to private trust companies, their boards of directors, and advisors
  • Present legal matters to executive leadership and boards of directors
  • Participate in cross-functional transactional development teams and provide input, guidance and draft transactional documentation and support
  • Actively participate on transaction development and project teams
  • Advise on complex financial transactions, including M&A and financing arrangements, and provide related transaction support and documentation
  • Coordinate and/or assist with outside legal counsel and advisors including internationally

Core Skills and Qualifications:
The ideal candidate must possess all of the following:
  • Jurist Doctorate degree
  • Licensed to practice law in one of the fifty states
  • Eight (8) years of corporate law experience
  • Ability to work cross-functionally and influence at all levels of the organization
  • Exceptional judgement, integrity, and ability to manage sensitive and confidential matters
  • Deep understanding of corporate and other entity complex financing structures to include M&A experience
  • Excellent negotiation, drafting and communication skills
  • Strategic thinking with strong business acumen
  • Experience using Microsoft Office, including the ability to create basic reports, documents, presentations and spreadsheets in MS Word, MS Excel, and MS PowerPoint
  • High attention to detail and organizational skills
  • Ability to manage multiple projects under pressure and to prioritize workload to meet evolving deadlines
  • Excellent analytical skills

Preferred Skills and Qualifications:
  • Experience working in or with a large, privately held company
