Job Summary:
This position will report to An Automation Machinery Manufacturing Company's North American General Counsel and will assist with the legal affairs of An Automation Machinery Manufacturing Company, its subsidiaries, and designated affiliates. This individual will serve as a licensed attorney with a focus on corporate and business law in collaboration with An Automation Machinery Manufacturing Company's global headquarters, and will advise business and project teams on corporate and business law matters, while also supporting the legal department's general work initiatives. To be successful, the individual will demonstrate excellence in each of the following areas: contracts, insurance management, corporate entity management, mergers and acquisitions, global intercompany initiatives, and related business law matters, time management, business acumen, verbal and written communications, negotiations, legal reasoning, analytics, and collaborative work style.

Responsibilities:
  • Assist the Legal Department in support of the company's legal, insurance, entity management and contract initiatives and strategies.
  • Interpret, understand, and clarify context through interactions with the stakeholders and apply retained knowledge of the company's business and legal practices to all work performed.
  • Respond promptly to requests of all stakeholders, and provide relevant information, assistance, training, materials, and resources
  • Plan, organize, and prioritize own work to meet deadlines and accomplish assigned tasks within established timelines, including maintaining accurate records and files
  • Provide and monitor activities and evaluate insurance coverage needs and coordinate renewal and reporting for the property, vehicles, contracts, events, and business operations
  • Examine, advise, and coordinate legal data for contract litigation, including managing external representation
  • Conduct legal research and give legal interpretation and advice on emerging issues
  • Draft, review, negotiate, and provide legal advice on contracts in various business areas
  • Monitor and evaluate contract performance to determine the necessity for amendments, extensions of contract, and compliance with duties or contract performance
  • Collaborate with Legal Department attorneys at German headquarters on various legal initiatives, emerging regulatory issues, and legal interpretation of general legal matters of US law
  • Develop and present educational materials on various legal topics to the company's employees
  • Oversee the corporate entity management activities for the US legal entities as directed by the Board, including mergers or other restructuring, coordinating the filing of annual reports, registering the subsidiary companies in the appropriate states where business activity is commenced, and assisting with preparations for the corporate board meeting.
  • Other duties as assigned by one's Manager

Qualifications:
  • Minimum of 5 years of in-house and/or private law firm experience with a particular emphasis on business and corporate law
  • Organized, process-driven, and internal client-focused team player
  • Possesses excellent oral and written communication skills, particularly regarding contracts and legal analytical skills, including the ability to independently advise clients as to various contract, business law, and insurance issues
  • Takes initiative, is proactive, and works well with ambiguous information
  • Demonstrates the ability to problem-solve and ask relevant questions to obtain information, as needed, to fulfill the requesting party's legal objectives and mitigate risk to the company
  • Must be able to sort through facts vs. feelings to develop context
