About the role:
Snowflake is seeking an experienced technology transactions attorney to join our world-class legal team as Senior Corporate Counsel 2, Strategic Product Partnerships. This role reports directly to the Director, Product Partnerships and will serve as a critical partner to Snowflake's Business Development, Product, and Strategic Partnerships teams.

You will be at the center of the strategic technology transactions that directly shape Snowflake's product and go-to-market strategy, handling some of the most consequential and fast-moving deals in the industry. The product partnerships portfolio is broad and structurally varied. A meaningful and growing portion of the portfolio involves AI partnerships — agreements with frontier and alternative AI model providers and hyperscalers. This role will be at the forefront of that expansion. It also includes deep integration partnerships with enterprise software companies — such as zero-copy and bi-directional data integrations; OEM and white-label arrangements in which a partner embeds or resells Snowflake as part of its own offering; and bundling or co-sell arrangements with technology platform partners, including arrangements where Snowflake is sold alongside or on top of third-party infrastructure. These deals frequently involve fee structures, revenue sharing, licensing, and complex IP and data use considerations.

What You'll Do:
  • Structure, negotiate, and close complex commercial and strategic agreements, including those for AI, SaaS, cloud infrastructure, and other product-related partnerships.
  • Partner closely with Business Development, Product, Engineering, and Strategic Sourcing teams on high-priority technology transactions and AI partnerships, including agreements with frontier AI, open-weight and alternative AI model providers and hyperscalers.
  • Provide sound, practical guidance on legal and business-related issues to senior business leaders and cross-functional stakeholders, balancing legal risk with real-world business imperatives.
  • Monitor the overall deal workflow for the product partnerships portfolio; identify bottlenecks and proactively drive resolution.
  • Lead the development and ongoing improvement of contract templates, playbooks, policies, and scalable contracting processes to streamline and simplify the partnerships contracting lifecycle.
  • Collaborate cross-functionally with product, privacy, and security legal, finance, tax, engineering, and compliance teams to appropriately manage risk and support deal execution.
  • Stay current on the rapidly evolving legal and regulatory landscape affecting AI partnerships, cloud agreements, data processing, subprocessors, and related areas — and proactively surface emerging issues to the team before they arrive in a transaction.
  • Build institutional knowledge and share expertise across the team to ensure continuity and resilience in a high-velocity environment.
  • Demonstrate leadership behaviors that elevate the team: help set standards, mentor junior colleagues, run cross-functional forums effectively, and think about objectives — not just execution.
  • Support additional responsibilities of the broader Technology Transactions and Alliances team as required.

What We're Looking For:
  • JD from an accredited law school; active bar membership with the ability to practice in California required.
  • 7+ years of legal experience as a practicing attorney, including training at a top law firm and meaningful in-house experience at a SaaS or technology company.
  • Deep experience negotiating complex technology transactions, strategic alliances, and partnership agreements — including AI, cloud infrastructure, SaaS, and data-related agreements.
  • Strong knowledge of SaaS-centric legal considerations, including data privacy, security, intellectual property, and subprocessor frameworks.
  • Demonstrated ability to drive complex, cross-functional deals and projects to closure in a fast-paced environment.
  • Exceptional project management skills and the ability to manage a high-volume, varied deal portfolio while meeting tight deadlines.
  • Strong business judgment — ability to recognize and weigh legal and business risk, and advance practical, market-aligned solutions.
  • Excellent written and oral communication skills, with the ability to present clearly and credibly to senior stakeholders.
  • Demonstrated leadership behaviors, including the ability to take ownership of programs and processes, set direction, support the development of peers, and operate with a force-multiplier mindset — not just individual execution.
  • Highly responsive and service-oriented, with the ability to manage competing priorities and operate effectively under ambiguity.

  • Experience with AI partnership structures, including agreements with frontier AI model providers (e.g., API access, model deployment, data use), hyperscalers, and neocloud infrastructure providers.
  • Prior experience building or improving scalable contracting infrastructure — templates, playbooks, or deal desk processes — in a high-growth technology company.
