Job Purpose:The Senior Corporate Counsel – Technology will join our Commercial Operations Practice Group and be part of a collaborative legal team, reporting to the Deputy General Counsel, that partners with every part of the business. This role will serve as the primary legal advisor to the IT department, providing strategic support and guidance on a wide range of technology, cybersecurity, and privacy issues. The Senior Corporate Counsel – Technology will also play a critical leadership role in developing and maintaining the company's privacy policy and will be actively involved in the company's Cybersecurity Council.
In this position you will have the opportunity to:
- Work closely with our IT and Indirect Procurement teams and lead the drafting, review, and negotiation of complex IT contracts, including software licensing, SaaS, cloud services, hardware procurement, and technology consulting agreements, providing advice on risk mitigation, regulatory compliance, and business terms.
- Serve as the lead attorney supporting the IT department with daily operational issues and strategic initiatives including advising on legal issues related to technology implementation, digital transformation and emerging technologies.
- Participate as a core member of the Cybersecurity Council, working with cross-functional teams and providing legal guidance on cybersecurity policies, incident response, data breach management, and regulatory obligations.
- Own and manage the company's privacy policies, ensuring compliance with all applicable data protection laws and regulations, also serving as the company's subject matter expert on privacy-related legal issues.
- Work closely with the Sales, Distribution and Marketing teams to support their business growth initiatives and address any privacy-related questions or issues as they arise.
- Collaborate with cross-functional teams, including IT, security, compliance, and leadership, to understand business needs and provide tailored legal guidance that drives results and mitigates risk.
- Anticipate legal and regulatory challenges, offering practical and timely solutions during contract negotiations, project planning, and incident management.
- Translate complex legal requirements into actionable guidance for non-legal colleagues, ensuring clarity and supporting effective decision-making throughout the organization.
- Lead initiatives related to privacy, cybersecurity and technology law, championing best practices and fostering a culture of compliance and ethical responsibility.
- Stay current with evolving legal trends, data privacy laws, and cybersecurity regulations, ensuring LP remains compliant and competitive in a changing environment.
- Help advance the Legal Department's efficiency efforts by bringing fresh ideas and helping find better ways of doing things.
- Demonstrate self-direction in handling a high-volume of assignments, effectively organizing priorities to meet business need.
What do I need to be successful?
- 5+ years of experience
- Demonstrated experience leading the drafting, review and negotiation of technology contracts.
- Expert knowledge of cybersecurity related legal issues including demonstrated experience advising on cybersecurity frameworks, risk assessments, and incident response planning.
- Expert knowledge of privacy related legal issues including demonstrated experience in developing, maintaining, or overseeing company-wide privacy compliance initiatives.
- Experience supporting IT departments and advising on technology-driven business strategies.
- Strong informal leadership skills with the ability to drive cross-functional initiatives with teammates outside of the Legal Department.
- Excellent communication and problem-solving abilities and you're comfortable working independently and handling responsibility.
- Previously worked in an in-house counsel role, preferably with a publicly traded company with multinational operations.
- Experience managing an IP portfolio is a plus, as is any background in areas relevant to a global, publicly traded manufacturing company.
- Ability to juggle multiple projects and respond quickly to urgent requests.
- Ability to be collaborative, resourceful, flexible, and open to taking on a variety of tasks.
- Excellent interpersonal and communication skills (written and oral), research skills and attention to detail.
- Solid business judgment, integrity and discretion.
Education:
- Juris Doctorate from a nationally recognized law school.
- Admitted to practice in at least one U.S. state bar, and eligible to be admitted to practice law in the State of Tennessee.
Work Environment:
- This position will work at home and in our Nashville office on a hybrid schedule
- Must live within a commutable distance to Nashville or willing to relocate to the greater Nashville area
