The Role:This is a hybrid role focused on general commercial matters as well as data, privacy, and product matters. Reporting into the VP of Commercial and VP of Data, Product, and Privacy, the Senior Corporate Counsel will serve as a generalist attorney embedded in a lean, high-output legal team.
We deliver a high volume of work in a short period of time. The ability to quickly comprehend issues and risks — and communicate them clearly to decision makers — is essential. We're looking for someone who is curious, self-driven, and genuinely excited to connect the dots between legal strategy and business outcomes.
What You'll Do:
- Provide analysis and advice on general contractual matters, with a strong focus on revenue, data licensing, and privacy.
- Draft, negotiate, and review commercial and privacy-related contracts including SaaS, partnership, licensing, data, distribution, consulting, confidentiality, DPAs, and other business and legal documents.
- Support all data, privacy, and product-related matters by assisting with implementation and management of the data privacy program, advising on product development, and advising on the company's data compliance.
- Assist with legal operations including implementation of efficient workflows between various teams, management of Ironclad, document retention programs, and similar initiatives.
- Serve as a generalist to support the Chief Legal Officer, lead counsels, legal team, and all stakeholders — willing to take on and lead matters across any subject area.
- Anticipate, evaluate, and propose mitigation strategies for potential risks in contractual, privacy, compliance, financial, and legal areas.
- Develop and provide education and training to Sales, Pricing, and other cross-functional teams.
- Build strong relationships internally, with opposing counsel, and with outside counsel — great working relationships are a core value here.
- Assist counsel with corporate governance matters on an as-needed basis.
What You'll Bring
- JD from an accredited law school.
- 5–10 years of experience working both at a law firm and in-house, preferably at technology and/or digital media companies.
- Current member in good standing of the California or New York bar.
- Strong experience in legal operations/automation, commercial transactions, privacy, data licensing, and product.
- Experience with implementation and management of privacy platforms.
- Experience negotiating and drafting commercial, data, and privacy transactions with large media companies — agencies, programmers, distributors, and television publishers.
- Exceptional verbal and written communication skills across all levels; strong in managing up and project management.
- Confident understanding of contracts and privacy laws.
- Developed business acumen — able to understand the company's business and anticipate the nature and magnitude of issues that could arise in various settings.
