The Ralliant Law & Compliance team is seeking a Senior Corporate Counsel to support Ralliant's operating subsidiary, Pacific Scientific Energetic Materials Company LLC (PacSci) with all commercial legal needs under the supervision of the Assistant General Counsel – Government Contracts & PacSci. This role is focused on advising the business on government contracting and other regulatory compliance matters, supporting legal initiatives, reviewing and negotiating contract terms (specifically for US government defense subcontracts), negotiating disputes with customers and suppliers, and collaborating closely with various stakeholders to advance the business and mitigate associated risk.

The ideal candidate is a self-motivated individual able to independently manage legal assignments, collaborate with cross-functional teams, and drive enterprise-wide projects.

This position offers an excellent opportunity for a legal professional seeking to broaden their experience as a commercial legal generalist while deepening expertise in government contracts. The ideal candidate will bring either direct experience working in the defense sector or strong background in government contracting. While deep subject-matter specialization is not required, the role calls for an inquisitive and versatile attorney who can support the wide range of business and compliance issues of a US defense contractor. This hybrid position can be located in either Chandler, AZ or Hollister, CA, with 3 days in office and 2 remote.

Responsibilities:
  • Draft, review, and negotiate a wide range of legal agreements, including US government prime and subcontracts, as well as procurement contracts, sales agreements, and non-disclosure agreements.
  • Support government contracts related compliance initiatives, including investigations and audits.
  • Contribute to legal innovation initiatives, including development of templates, playbooks, and process improvements using automated tools and other innovative ways to provide more efficient and effective legal services.
  • Serve as a business partner to other functions within the company, translating detailed regulations and contract requirements into clear, actionable guidance for non-legal stakeholders.
  • Partner with cross-functional teams to resolve legal issues and support achievement of strategic business objectives.
  • Maintain and update legal operations systems to track contract workflows including intake, status, completion as well as government contract compliance documentation.
  • Provide training and guidance to various stakeholders on government and other contracting principles, regulatory compliance matters, and legal best practices.
  • Collaborate with other members of the Commercial & International legal team to ensure a consistent global and organization approach to legal issues.
  • Monitor and interpret changes in government contracting laws and regulations, advising stakeholders on potential impacts.
  • Assist with other legal matters as assigned, including customer or supplier related disputes, and strategic transactions.

Qualifications:
Minimum Requirements:
  • JD from an accredited law school.
  • Active bar membership in good standing with ability to obtain in-house counsel admission where located if required.
  • Minimum of 4 years' experience in a legal department or law firm, with a focus on government contracts, and corporate and commercial transactions.
  • Familiarity with Federal Acquisition Regulation (FAR) and Defense Federal Acquisition Regulation Supplement (DFARS).
  • Experience supporting US government contractors, ideally in the defense and aerospace sectors.
  • Unquestionable integrity and excellent judgment.
  • Exceptional written and verbal communication skills, with the ability to advise across all levels of the organization and communicate complicated information in an understandable way.
  • Self-motivated with ability to work independently while exercising independent judgment in determining when supervisory input is necessary.
  • Strong organizational and time management skills to include prioritizing multiple complex matters and conflicting demands in a fast-paced and complex environment.
  • Customer-focused and continuous improvement mindsets.
  • Positive attitude and willingness to learn and expand into broader legal areas support a growing aerospace and defense business.
  • US citizenship.

Preferred Qualifications:
  • Strong understanding of FAR/DFARS.
  • Familiarity with UCC Article 2 and 2A, Incoterms, and commercial contracting.
  • Experience with contract lifecycle management (CLM) tools, SharePoint, and AI-based contract review platforms or interest/aptitude for learning legal tech.
  • Demonstrated interest/aptitude in process improvement, template and playbook development.
  • Experience with ATF regulations, DCSA facility clearance, export controls (ITAR/EAR,) and CMMC implementation.
