Position Summary:
The Senior Corporate Counsel will provide day-to-day transactional and claims support to the Construction segment of the company. This includes ensuring that the Company's contract obligations are reasonable, are undertaken on an informed basis with management's consent, and properly mitigate risk to protect the Company. The position will also assist the Construction General Counsel with legal issues that may arise during project execution.

Essential Responsibilities:
  • Draft and negotiate complex, multi-party contracts including EPC agreements, master agreements, purchase and sale agreements for goods and/or services, parent company guarantees, letters of credit, surety bonds, and other documents relating to the power generation and construction industries.
  • Provide post-award legal support to project management teams in the areas of contract interpretation and claims and assist the supply management team with negotiating commercial terms with vendors as needed.
  • Manage claims related to construction, including, without limitation, claims based on delay, disruption, differing site conditions, force majeure, and cumulative impact.
  • Legal support will be provided to utility construction, renewable energy services, environmental, and electrical construction businesses.

Job Requirements / Skills, Knowledge and Abilities:
  • Juris Doctor degree from an ABA accredited law school.
  • Strong contracting and transactional skills.
  • Experience negotiating construction agreements.
  • Candidates should have a minimum of 10 years of experience that includes significant transactional experience negotiating complex agreements for the power generation and construction industries.
  • A solid working knowledge of insurance and intellectual property law preferred.
