Description:
Responsibilities:- Deltek is seeking a Senior Corporate Counsel to join its in-house legal team. This attorney will draft, review, and negotiate technology/licensing agreements, advise the business on legal and regulatory issues unique to serving project-based businesses, including Government Contractors, and act as a trusted, business-oriented legal partner across Sales and Customer Success teams.
- Demonstrated experience advising technology or SaaS companies on commercial contracts, including on-premise, SaaS, and subscription enterprise software licensing agreements.
- History of increasing scope and responsibility, with the ability to work independently and with little supervision.
- Familiarity with federal procurement, including Federal Acquisition Regulation (FAR) and Defense Federal Acquisition Regulation Supplement (DFARS), as they apply to technology providers.
- Understanding of data privacy and security obligations applicable to Government Contractor customers, including CUI handling, NIST 800-171, and FedRAMP and CMMC concepts.
- Highly developed contract-related written and oral communication skills, with strong contract drafting, review, and negotiation ability.
- Experience with GSA Schedule contracts, GWACs, or other federal contract vehicles.
- Experience advising on intellectual property licensing, open-source software usage, and data rights/ownership issues in IP agreements
- Practical, hands-on experience using AI-powered legal tools (e.g., contract analytics platforms, generative AI drafting/review assistants) to increase efficiency across a high-volume contract pipeline.
- Experience with IP and data privacy issues specific to AI/machine learning technologies, such as training data rights, model outputs, algorithmic bias, and ownership of AI-generated content.
Qualifications:
- J.D. from an ABA-accredited law school and active bar membership in Virginia or in at least one jurisdiction with ability to obtain Virginia Corporate Counsel registration.
- 5+ years of relevant in-house or law firm experience in a fast-paced environment, ideally combining both.
- Prior in-house counsel experience at a SaaS, enterprise software, or GovCon-focused company.
- Business-oriented, pragmatic approach to identifying and managing legal risk.
- Skill in developing and maintaining effective working relationships with internal clients and external customers.
- Familiarity and comfort with driving process improvements in procurement, technology sales, licensing, and other technology-specific business and legal processes.
- Strong judgment and discretion, including knowing when to escalate issues to senior leadership.
- Self-starter capable of working independently in a fast-paced, growth-oriented, global environment.
- Intellectually curious and adaptable, with genuine interest in staying current on evolving AI technology and its legal, ethical, and regulatory implications for the business.
