About the role:
As Senior Corporate Counsel, Commercial and Data Protection, you will support Sitecore's commercial legal needs across the Americas, with a focus on customer-facing SaaS, cloud, software licensing, and services agreements. You will also advise on data protection, privacy, AI, and product-related legal issues that arise in the sales cycle and across Sitecore's technology offerings.
This role requires a practical, business-minded attorney who can lead complex commercial negotiations, support privacy and data protection matters, and partner effectively with Sales, Deal Desk, Finance, Privacy, Security, Product, Customer Success, and Procurement.
The role is primarily a commercial contracting role, with meaningful responsibility for data protection and privacy terms, customer privacy escalations, and product and AI-related legal support. You should be comfortable advising senior stakeholders, managing competing priorities, and helping the business close deals while protecting Sitecore's legal, operational, and commercial position.
What You'll Do:
- Draft, review, and negotiate customer-facing SaaS, cloud, software licensing, services, partner, and other commercial agreements.
- Serve as a primary legal partner for the Americas Sales organization, providing practical legal guidance on commercial transactions, customer negotiations, approvals, and escalations.
- Advise on contract structure, risk allocation, liability, indemnities, service levels, security terms, data protection terms, AI terms, and product commitments.
- Negotiate Data Processing Agreements, Standard Contractual Clauses, privacy addenda, subprocessors provisions, data transfer terms, and related privacy and data protection provisions.
- Provide first-line legal guidance on privacy and data protection questions from Sales, Customer Success, Product, Security, Procurement, and Finance.
- Work closely with Sitecore's Privacy and Security teams on customer privacy escalations, customer due diligence, data protection risk assessments, vendor privacy issues, and product privacy reviews.
- Support Product, Engineering, Security, and Privacy teams on product updates, feature releases, AI-enabled functionality, integrations, beta programs, proofs of concept, and customer-facing product commitments.
- Advise on legal issues connected to data usage, personalization, product telemetry, AI outputs, automated processing, customer disclosures, and emerging technology.
- Maintain and evolve contract templates, playbooks, clause libraries, fallback positions, approval processes, and internal guidance.
- Deliver internal training on commercial contracting, privacy, data protection, AI terms, and legal processes.
- Collaborate with Finance, Privacy, Security, Product, Procurement, Compliance, and other teams on legal and business initiatives.
- Support general corporate matters and special projects as needed.
What You Need to Succeed:
- JD from an accredited US law school and active license to practice law in at least one US jurisdiction.
- Minimum 5 years of relevant legal experience in an in-house legal department.
- Strong experience negotiating SaaS, cloud, software licensing, data protection, and technology agreements.
- Proven ability to support Sales teams in a legal capacity, preferably at a software, SaaS, cloud, data, AI, martech, or enterprise technology company.
- Demonstrated ability to advise on privacy and data protection issues in a commercial contracting environment.
- Strong working knowledge of DPAs, BAAs, SCCs, GDPR, UK GDPR, CCPA/CPRA, subprocessors, data transfers, and customer privacy negotiations.
- Familiarity with AI-related legal issues, product data use, product telemetry, personalization, or emerging technology issues.
- Excellent drafting, negotiation, and communication skills, with the ability to explain complex legal issues clearly and pragmatically to business stakeholders.
- Ability to translate business needs into practical legal solutions and clear contract drafting.
- Comfortable interacting with senior management and cross-functional teams.
- Strong business judgment and ability to manage multiple projects under tight deadlines.
- Collaborative, flexible, and able to work across teams and geographies.
Additional Skills That Could Set You Apart:
- Experience at a SaaS, cloud, martech, adtech, AI, data, or enterprise software company.
- Good understanding of software development, APIs, cloud infrastructure, AI systems, and enterprise technology architecture.
- Experience supporting Product, Engineering, or Security teams on product launches, privacy-by-design, AI governance, or product compliance.
- Experience advising on intellectual property matters, including software licensing, open source, copyright, trademarks, trade secrets, or product-related IP risk.
- Experience with security schedules, incident response support, vendor risk, or customer security reviews.
- Experience supporting cross-border transactions or working with global stakeholders across the US, UK, EU, and APAC.
- Experience building legal playbooks, scalable contracting processes, internal training, and self-service resources.

Compensation details: the base salary for this role ranges from $145k to $175k, in addition to a 15% bonus structure.
