We are seeking an experienced Senior Corporate Attorney to join our Legal team and support our growing software business globally. This role will serve as a trusted legal advisor on corporate, commercial, and regulatory matters, partnering closely across functions to enable growth while managing legal risk.

This role reports into the CFO. The ideal candidate brings deep familiarity with high-volume contract environments, cross-border sales operations, and the legal frameworks governing software.

What you will do:
  • Draft, review, negotiate, and finalize commercial contracts, including master service agreements, SaaS and software license agreements, professional services agreements, NDAs, and enterprise customer contracts across U.S. and international markets.
  • Serve as legal partner to the global Sales team, providing rapid and practical guidance on contract terms, deal structures, customer escalations, and standard company positions to support a large and diverse customer base.
  • Ensure GT's commercial contracting practices remain in compliance with applicable federal and state contract law, relevant international trade, export control, privacy, and data protection regulations.
  • Identify, assess, and advise business stakeholders on contractual risk and legal exposure arising from commercial transactions, including indemnification obligations, limitation of liability clauses, IP ownership, and data privacy commitments.
  • Conduct legal research and analysis on issues arising in commercial contracting contexts, including American contract law developments, multi-jurisdictional enforcement questions, and emerging regulatory requirements affecting global sales operations.
  • Maintain, and continuously improve standard contract templates, playbooks, and fallback positions to streamline the contracting process and ensure consistency across the global sales organization.
  • Support broader legal department needs including assistance with vendor onboarding, employment and labor issues, M&A due diligence related to commercial contract review, and other strategic business transactions as needed.
  • Manage internal databases to ensure appropriate organization of, follow-up on, and document retention for open and closed matters.

What you will bring:
  • Qualified lawyer with a minimum of 6–10 years of relevant experience
  • Significant experience in-house or at a top-tier law firm advising software companies
  • Familiarity with U.S. contracting norms
  • Experience negotiating SaaS, licensing, and enterprise software agreements
  • Familiarity with cross-border corporate structuring and multi-jurisdictional compliance
  • Excellent negotiation, drafting, and communication skills
  • Ability to work independently in a fast-paced, high-growth environment
  • Strong business acumen
