Responsibilities:
Basic Purpose
Negotiates and drafts conrtacts and provide legal advice on the interpretation of statutes, regulations, contracts, and corporate policies in compliance with federal, state, county, and local statutes and regulations.

Essential Duties and Responsibilities:
  • Negotiates and drafts letters of intent, engineering procurement and construction contracts, acquisition agreements, build transfer agreements, and power purchase agreements for renewables projects.
  • Advises company with respect to ownership and management of real property assets and interests in Nevada, including rights of way and easements. In addition, advise the company with respect to compliance with laws and regulations of federal (primarily the Bureau of Land Management), state and local regulatory agencies applicable to such property interests.
  • Provides counsel and legal advice on the interpretation of contracts, statutes, regulations, contractual disputes, and corporate policies.
  • Negotiates and drafts energy trading agreements including NAESB, ISDA, WSPP and EEI and related confirmations as well as confidentiality agreements.
  • Develops and presents recommendations to management regarding courses of action related to contracts, disputes, and transactions, to ensure compliance with applicable legal authority and minimize legal risks.
  • Selects, oversees, and directs outside legal counsel and reviews and approves outside counsel invoices. Recommends application of corporate policies and legal controls to protect the company's interests and objectives. Ensures all compliance aspects of position are known and followed; understands and complies with all policies, codes, and regulations applicable to position and company. Monitors and enforces all compliance requirements for area of responsibility. Performs related duties as assigned.

Requirements:
Essential Education, Skills, and Environment

Education and Work Experience:
  • Juris Doctorate degree from an accredited U.S. law school, as well as qualification for membership with the State Bar of Nevada (within one year of starting the position).
  • Minimum of seven years' experience in a law firm, government, or corporate setting.
  • Minimum of two years' experience in the energy industry (experience in other regulated industry considered).

Specialized Knowledge and Skills:
Demonstrated knowledge of:
  • Energy trading and renewable energy, including solar, storage, wind and geothermal energy issues and projects.
  • Tax issues related to energy transactions including investment tax credits and production tax credits.

Demonstrated skills such as:
  • Verbal and written communication and interpersonal
  • Implications of proposed actions or positions and respond appropriately in internal and external forums
  • Working seamlessly with business unit clients as part of the business team
  • Working with and managing outside counsel to cost effectively achieve desired outcomes
  • Maintaining project timelines, to manage and prioritize multiple matters, and deliver on commitments.
