This position is eligible for telework which is currently one day per week. New hires are eligible to apply 30 days after their effective date of hire.

Summary:
The position will represent A Government Entity in connection with real estate, contracting, transactional and commercial related legal matters so as to protect and preserve A Government Entity's legal interests and help monetize its real property interests, by assisting with and overseeing complex joint development and transit-oriented transactions, capital projects and transit improvements. The position will work collaboratively with the A Government Entity real estate transit-oriented development and planning department within A Government Entity C&D as well as with the A Government Entity real estate department and other A Government Entity attorneys to efficiently and cost-effectively facilitate the use, acquisition and disposition of real property interests and other assets on development projects, public-private partnerships with a transit improvement components, capital projects and securing subway entrance enhancements and accessibility initiatives.

Responsibilities:
  • Provide legal support to the A Government Entity real estate transit-oriented development team, including A Government Entity C&D. Review, analyze, draft and negotiate a broad variety of complex real estate related contracts and documents, including easements, leases, land disposition agreements, licenses and permits. Provide legal and business advice with regard to complex enterprise-wide contract negotiations for real estate related matters, including telecommunications and wireless agreements.
  • Advise A Government Entity Real Estate team and business unit clients regarding legal and business risks. Assist with the administration of the Real Estate Development legal group, including (i) management and control of and responsibility for drafting/updating of real estate boilerplate form documentation and a real estate form library, with a heavy emphasis on ground leases, development agreements, licenses, easements and permits and (ii) implementation of legal training program.
  • As time permits, provide legal support in other practice areas in support of A Government Entity's mission, including proposed and enacted legislation, advertising, contractor responsibility, corporate issues and state and federal rules and regulations. Other duties as assigned by senior management.

  • Demonstrated ability to work independently on contract negotiations of significant size and complexity, manage multiple projects and clients in a fast-paced environment, and work on a multi-disciplinary team.
  • Confidence dealing with senior management and sophisticated developers, lessees, and other counterparties. Ability to identify creative, business-oriented solutions to legal and business risks.
  • Demonstrated ability to implement, manage, organize, and update real estate legal documentation form files and database.
  • Strong interpersonal, analytical, problem solving, organizational, drafting and communication skills.
  • Proven capability to build and maintain strong client relationships.
  • Ability to supervise paralegals and work collaboratively with other attorneys. Intellectual curiosity and a desire to continue to learn and think creatively.
  • Ability to manage a diverse and heavy volume of matters and to assist client in determining priorities.

  • Proficiency in Microsoft Word, Microsoft Excel and computer skills.

Education and Experience:
  • A law degree from an accredited law school. Excellent academic credentials.
  • Must be admitted and in good standing to practice law in NYS. In addition, a minimum of eight years of relevant legal experience at a large law firm or supporting a large governmental or private section required,
  • A minimum of 6 years of experience on sophisticated real estate development transactions.
  • Pertinent experience drafting and negotiating contracts under NY law. Working knowledge of New York Real Property Law, New Real Property Actions and Proceedings Law, New York Lien Law and pertinent provisions of New York General Obligations Law.
  • Successful candidate will be required to gain knowledge of New York Public Authorities Law if not already knowledgeable.
