Saul Ewing is looking for an experienced attorney to join our expanding securities group in our Washington DC Office. This is an opportunity to join a sophisticated and entrepreneurial practice in a collegial and supportive environment. The ideal candidates should have at least five years of in-depth experience in the following areas:- Public company disclosure rules and regulations (the Securities Act of 1933, the Securities Exchange Act of 1934)
- Experience drafting Forms 10-K, 10-Q and 8-K
- Proxy statements for annual and special shareholder meetings
- Experience drafting Forms 3, 4 and 5)
- Familiarity with short-swing profit rules
- Experience advising public company insiders or public companies with respect to trading plans
- General corporate and corporate governance experience in the context of public companies (e.g., drafting board resolutions, policies, press release, etc.)
- Public and private offerings of securities
- Knowledge of national securities exchange listing rules
- Broker-dealer, FINRA, investment adviser, or fund formation experience is a plus
A strong academic background and excellent research, writing and communication skills are required. Senior associates, counsel, and junior partner candidates will all be considered for this position. The pay for this position will be determined based on relevant skills and experience, education, external market data, internal equity, and other job-related factors.
