Position Overview:
The Sr. Assistant General Counsel, Business Development & Growth, is a leading legal business development role in Elanco's Legal, Compliance and Corporate Affairs department, encompassing complex business transactions, mergers & acquisitions, divestment, licensing and innovation agreements, negotiations with internal and external parties, and providing sound advice to our business leaders on legal aspects involving business strategy and competitive issues for our commercial pursuits; the role reports directly to the Head of BD Legal, and will be a key member of the Global BD team.

Responsibilities:

Be a trusted advisor and legal business partner with internal clients and successfully negotiate complex agreements that protect and support the business
Negotiate and draft agreements of varying complexities, including but not limited those related to the following: stock/asset acquisition and sale; joint venture; co-development; collaboration; memoranda of understanding; non-disclosure; letters of intent; licensing; procurement and supply related activities; settlements; asset incubation opportunities; brand restricted and labeling matters; and innovation
Counsel business area(s) leaders on key business legal risks and strategies to mitigate risk
Synthesize terms of complex matters to support businesspeople at all levels of the organization
Conduct due diligence and asset assessment in support of transactions
Serve as key liaison with others in the organization and bring legal insight and strategy, with gravitas, to the deal team

Basic Qualifications:

Juris Doctor or equivalent legal degree
At least five (5) years in practice and experience in providing legal counsel on business development, M&A, divestiture, and related legal deals with a major corporation or law firm
Significant experience drafting, negotiating and executing successfully terms, agreements, and deals of at least $100M+ including multi-jurisdictional deals
Familiarity with IP assets, regulatory processes, and IP validity issues
Financial acumen for proposals, business deals and complex transactions
Active State bar registration
Demonstrated ability to perform successfully as a member of cross-functional teams
Ability to handle multiple projects in fast-paced environment and exercise sound legal judgment
Capable of providing legal and strategic guidance to senior management and functional organizational leadership
Excellent interpersonal, strategic thinking, communication, and organizational skills
Ability to apply innovative problem-solving skills and judgment to assist in managing corporate risk
Deliver work product within business constraints in a demanding environment while balancing competing client requests
Ability to educate internal clients on processes, procedures and risks, perform with integrity and deliver on promises made

Experience delivering multi-million-dollar wins (M&A) and divestment successes
Experience handling IP issues, including brand and generic IP strategies involving patents and trademarks particular in due diligence activities, in fields of pharmaceuticals, biotech, medical devices, business intelligence, and/or animal health Advanced degree(s) in pharma, chemistry, biochemistry, etc.
Familiarity with the animal health or crop science industry
Familiarity with ANDA, FDA, regulatory processes and environments
Advanced degree in business (e.g., MBA, DBA)
