Job Brief:
We are seeking law students, recent graduates, or LLM candidates interested in securities law to join our team as Securities Law Associates. This position offers an excellent opportunity to learn from experienced attorneys and gain hands-on experience in IPO, SPAC, and post-IPO compliance work. The ideal candidate will be eager to support clients in cross-border corporate and securities transactions, particularly those involving Asian and Asian American businesses, while developing a strong foundation in securities and corporate law practice.
What You'll Do:
- Support Client Advisory: Assist senior attorneys in advising clients on securities law compliance and regulatory requirements.
- Document Preparation: Draft and review securities offering documents, such as registration statements and prospectuses.
- Legal Research: Conduct in-depth legal research on securities regulations, corporate law, and emerging market trends.
- Corporate Transactions: Support work on mergers, acquisitions, and corporate governance matters.
- Regulatory Compliance: Help ensure adherence to SEC and state securities laws and filings.
What We're Looking For:
- Education: Juris Doctor (J.D.) degree from an accredited law school; LL.M. candidates are also welcome to apply.
- Academic Standing: Top half of the class preferred.
- Licensure: Bar admission (or eligibility) in any U.S. state is a plus.
- Language Skills: Mandarin language proficiency is a plus.
- Personal Qualities: Willingness to learn, proactive attitude, and a strong team player.
- Skills: Excellent research, writing, and communication abilities; detail-oriented and highly organized.
