Description:We are seeking a talented and motivated associate attorney to join a high-performing team working on cutting-edge renewable energy matters, with a focus on financing and acquisitions. This is an exceptional opportunity to work alongside leading practitioners on sophisticated transactions at the forefront of the energy transition.
The associate will support the development, construction, financing, acquisition, and disposition of energy infrastructure projects, as well as tax credit monetization strategies for renewable energy and energy transition projects, including solar, wind, battery energy storage, clean hydrogen, and other clean energy technologies. The role offers exposure to a diverse client base, including developers, sponsors, tax equity investors, tax credit buyers, and lenders, in structuring and negotiating tax equity financings, tax credit transfers, joint ventures, preferred equity investments, and other project-level capital arrangements.
In addition, the associate will have the opportunity to advise public and private companies on a broad range of mergers, acquisitions, divestitures, and other strategic corporate transactions across multiple industries.
Responsibilities:
- Assist in structuring and negotiating tax equity financings, tax credit transfers, joint ventures, preferred equity investments, and other project-level capital arrangements.
- Support the development, construction, financing, acquisition, and disposition of energy infrastructure projects.
- Advise clients on tax credit monetization strategies for renewable energy and energy transition projects.
- Contribute to mergers, acquisitions, divestitures, and other strategic corporate transactions.
- Draft, review, and analyze transaction documents and conduct legal due diligence.
Job Requirements:
- J.D. from an accredited law school and active membership in good standing with the relevant state bar or eligibility for admission by waiver or examination.
- 1–8 years of relevant experience in project finance, energy transactions, tax equity, and/or corporate M&A (candidates with strong, transferable transactional experience are encouraged to apply).
- Strong drafting, analytical, and negotiation skills.
- Ability to manage multiple matters and work collaboratively within a fast-paced, high-performing team.
- A demonstrated interest in renewable energy, the energy transition, and project finance.
