Overview:
We are seeking an attorney to join the Real Estate Department in our Mankato, Madison, or Minneapolis offices as a Real Estate M&A Attorney.

This position is ideal for an attorney with significant experience advising clients on sophisticated commercial real estate transactions, including real estate transactions that arise in the context of mergers and acquisitions, private equity investments, financings, and other strategic corporate transactions. This role offers the opportunity to serve as a subject matter resource on real estate issues that arise in complex M&A and corporate transactions, while also leading sophisticated standalone real estate transactions. The attorney will work closely with real estate, corporate, private equity, M&A, finance, and tax colleagues on matters for regional and national clients.

Successful candidates will have over five years of transactional experience and a strong foundation in core real estate matters. An ideal candidate for this position will have deep experience negotiating and drafting complex commercial leases for both landlords and tenants. The ideal candidate will also have experience managing the real estate aspects of fast-paced corporate transactions, including conducting and coordinating real estate due diligence, identifying and evaluating title, survey, zoning, leasing, and property-related risks, and advising clients and deal teams on transaction structure and risk allocation. Candidates should also have experience negotiating and drafting purchase and sale agreements and related ancillary documents for both sellers and buyers in commercial real estate transactions, representing borrowers in mortgage loan transactions; and managing the closing of real estate sale and purchase and financing transactions.

Our Ideal Candidates Will Have:
  • 5+ years of transactional real estate experience, with a demonstrated ability to independently handle core real estate transactional tasks
  • Significant experience with negotiating and drafting complex commercial leases
  • Excellent interpersonal, analytical, and writing skills
  • Strong academic background
  • J.D. from an ABA-Accredited Law School
  • Active attorney license in at least one U.S. jurisdiction and ability to promptly get admitted in the state of Minnesota
