The Real Estate Attorney / General Counsel will be responsible for leading and managing the legal department within our real estate and property management operations. This position involves providing strategic legal guidance to the executive team and partners, ensuring compliance with all applicable laws and regulations, and mitigating legal risks associated with business activities.

Duties and Responsibilities:
  • Provide expert legal advice and counsel to the executive team on a wide range of legal issues, including corporate governance, real estate transactions, and regulatory compliance.
  • Develop and implement legal strategies and policies that align with the company's business goals and objectives.
  • Ensure compliance with all applicable federal, state, and local laws and regulations, including real estate and property management laws.
  • Represent the company in acquisition, disposition, financing, and development transactions.
  • Foster strong relationships with internal and external stakeholders, including regulatory agencies, to facilitate effective communication and negotiation.
  • Define the scope of work, negotiate fees, and manage legal budgets to ensure cost-effective, high-quality outside legal services as needed.
  • Collaborate with executive team to structure and close real estate deals efficiently and negotiate with other parties, working to secure favorable terms for transactions.
  • Draft, review and revise purchase agreements, financing documents, and commercial property leases and prepare the required legal documents to finalize property sales.
  • Conduct thorough research to investigate property titles, identify liens and easements, and other encumbrances, and verify the legal description of the property.
  • Help resolve disputes that arise during the real estate transaction process, sometimes involving inspections or property defects.
  • Identify, assess, and manage legal risks associated with contractual risks, insurance requirements, and potential liabilities. Analyze the probable outcomes of cases, using knowledge of legal precedents.
  • Advise partners concerning business transactions, claim liability, advisability of prosecuting or defending lawsuits, or legal rights and obligations.
  • Represent the organization in court as needed.
  • Collaborate with other departments to ensure compliance with laws and regulations affecting business operations.
  • Examine legal data to determine the advisability of defending or prosecuting lawsuits. Gather evidence to formulate defense or to initiate legal actions. Evaluate findings and develop strategies and arguments in preparation for presentation of cases.
  • Maintain organized records of all legal documents and correspondence.

Qualifications:
Education and Experience:
  • Juris Doctor from an ABA accredited law school
  • Admission to the Ohio Bar
  • Active law license to practice in Ohio and multi-state license is a plus.
  • Minimum of 10 years of legal experience, with at least 5 years in real estate law related industry.
  • Proven track record of providing strategic legal advice to senior management and overseeing complex legal transactions including property management, site development, leasing, acquisitions, and dispositions.
  • Demonstrated expertise in real estate finance, investment analysis, and market trends.
  • Demonstrated experience in handling regulatory compliance, risk management, and corporate governance issues within a real estate context.

  • Thorough understanding of policies and best practices of risk management.
  • Excellent organizational skills and attention to detail.
  • Proficient with Microsoft Office Suite or related software to prepare reports and policies.
