Job Overview:
This role is dedicated to the global Rates and Markets Treasury businesses with focus in North America and Latin America country clusters. It will primarily support the Rates and Markets Treasury structuring team with secondary support for the businesses providing bespoke/structured hedging solutions to corporates.
This is an excellent opportunity for a lawyer experienced in, and keen to expand their knowledge of, a wide variety of products across both derivatives and cash. The successful candidate could either come from any of a general financing, securities financing, or derivative background, but must be able and willing to cover all three areas. Ultimately they will be expected to demonstrate and be willing to develop their experience and understanding of complex financing structures (including derivatives, securities financing, loans and bespoke note issuances), other complex structures such as asset backed financing (e.g. financial asset backed repos), and derivatives products used by the Rates business across both the linear and non-linear derivatives spectrum as well as products utilized in the structured Markets Treasury business. A successful candidate will need to be able to think creatively about problems and assist the businesses in navigating applicable regulations to arrive at workable solutions.
Knowledge/Experience:
- At least 4 years' NY legal post-qualification experience.
- A good understanding of financial products and how they work and interact (e.g. bonds, loans, derivatives, securities financing).
- Derivatives experience within any product group is essential, with knowledge of the derivatives industry body 2006 and 2021 Rates definitions strongly preferred.
- Technical elements of derivative documentation and products, including close-out provisions, optional and mandatory termination provisions and cash settlement calculations, non-linear derivatives particularly swaptions;
- Knowledge of Dodd-Frank, Volker, Investment Company Act, Commodity Exchange Act, US risk retention, bankruptcy and broker dealer regulation.
- Some securities financing experience will be preferred but not mandatory
- Experience with secured hedging structures (e.g., finance-linked hedging) will be preferred but not mandatory
- Experience of structuring and/or managing complex transactions is preferred but not mandatory.
- Bar license in good standing to practice law
